Deze voorwaarden gelden voor iedere klant van RecordFlower. Zij zijn geschreven om leesbaar te zijn: korte artikelen, gewone taal en geen verwijzingen naar bepalingen die er niet staan.
1. Definities
Wat de begrippen betekenen.
RecordFlower — RecordFlower V.O.F., ingeschreven in het handelsregister onder nummer 99565285.
Klant — De partij die met RecordFlower een overeenkomst aangaat of een account aanmaakt.
Dienst — Het SaaS-platform van RecordFlower, waaronder de webshop, de beheeromgeving, het voorraadbeheer, de synchronisatie met een gekoppeld Verkoopkanaal, de hosting en de ondersteuning.
Overeenkomst — De afspraak tussen partijen over de levering van de dienst, waaronder een abonnement dat online tot stand komt en een afzonderlijk ondertekende serviceovereenkomst.
Abonnement — Het door de Klant gekozen pakket, met de daarbij horende functionaliteit en add-ons.
Verkoopkanaal — Een externe dienst of marktplaats waaraan de Klant de Dienst kan koppelen om voorraad te synchroniseren en/of waarlangs een aankoop door een koper kan worden voltooid, op dit moment bijvoorbeeld Discogs. RecordFlower kan een koppeling met een ander Verkoopkanaal aanbieden zonder dat deze voorwaarden daarvoor worden gewijzigd; de bepalingen over Verkoopkanalen in deze voorwaarden gelden dan onverkort voor dat andere kanaal.
Betaaldienstverlener — De partij die de betalingen van kopers verwerkt voor het eigen account van de Klant, op dit moment Stripe.
Website — recordflower.com, met inbegrip van de daar vermelde pakketten, tarieven en functionaliteit.
Verwerkersovereenkomst — De overeenkomst op grond van artikel 28 lid 3 AVG die per account wordt gegenereerd of afzonderlijk wordt ondertekend.
Schriftelijk — Per e-mail of via het dashboard, tenzij uitdrukkelijk anders vermeld.
2. Toepasselijkheid en rangorde
2.1 Deze voorwaarden gelden voor iedere aanbieding, offerte, proefperiode, overeenkomst en levering van RecordFlower, en voor het gebruik van de dienst.
2.2 Inkoopvoorwaarden of andere algemene voorwaarden van de Klant zijn niet van toepassing en worden uitdrukkelijk van de hand gewezen, ook wanneer daarnaar in een document van de Klant wordt verwezen.
2.3 Bij tegenstrijdigheid geldt deze volgorde: de verwerkersovereenkomst gaat vóór op alles wat de verwerking van persoonsgegevens betreft, daarna gelden de bijlagen bij een afzonderlijk ondertekende serviceovereenkomst, daarna de serviceovereenkomst, en daarna deze voorwaarden. Binnen deze voorwaarden gaan de bijzondere bepalingen in de artikelen 20, 21 en 22 vóór op de algemene bepalingen in de artikelen 01 tot en met 19, voor zover die elkaar tegenspreken. De artikelen 24 tot en met 34 gelden naast de artikelen 01 tot en met 19 en gaan daarop vóór voor zover zij hetzelfde onderwerp regelen; bij tegenspraak met de artikelen 20 tot en met 22 gaan die laatste voor. Artikel 15 beheerst de aansprakelijkheid in alle gevallen: een aansprakelijkheidsbepaling in de artikelen 24 tot en met 34 werkt binnen de grenzen van artikel 15 en niet daarbuiten.
2.4 Heeft de Klant geen afzonderlijk ondertekende serviceovereenkomst, dan gelden uitsluitend deze voorwaarden, de verwerkersovereenkomst en wat op de website over het gekozen pakket is vermeld.
2.5 Afwijkingen van deze voorwaarden gelden alleen wanneer RecordFlower die schriftelijk heeft bevestigd, en uitsluitend voor het geval waarvoor zij zijn gegeven.
3. Zakelijk gebruik
3.1 De dienst is uitsluitend bestemd voor partijen die handelen in de uitoefening van een beroep of bedrijf. De Klant verklaart als zodanig te handelen. RecordFlower richt zich niet op consumenten en levert niet aan consumenten.
3.2 Een Klant met een vestiging in Nederland verstrekt bij de aanmelding het nummer waaronder de onderneming in het handelsregister is ingeschreven. Zonder dat nummer wordt geen account geactiveerd. Dit vloeit mede voort uit de eisen die de betaaldienstverlener aan Nederlandse accounts stelt. Een Klant met een vestiging buiten Nederland verklaart zakelijk te handelen en verstrekt op verzoek een btw-identificatienummer of een vergelijkbaar inschrijvingsnummer uit het land van vestiging.
3.3 De Klant verkoopt via de dienst op eigen naam en voor eigen rekening aan de eigen kopers. RecordFlower is bij de verkoopovereenkomsten geen partij, verkoopt niets, bemiddelt niet en ontvangt geen koopsom.
3.4 De Klant is verantwoordelijk voor de naleving van alle regels die bij de verkoop horen, waaronder consumentenrecht, herroepingsrecht, informatieplichten, productveiligheid, btw en overige belastingen. Voor de btw-berekening in de dienst geldt daarnaast artikel 22.
4. Totstandkoming, account en proefperiode
4.1 De overeenkomst komt tot stand op het moment dat de Klant een account aanmaakt en een pakket kiest, of op het moment dat partijen een serviceovereenkomst ondertekenen.
4.2 RecordFlower kan een proefperiode aanbieden. De duur daarvan, en of daarvoor een betaalmethode nodig is, staan vermeld bij het pakket dat de Klant op de website kiest. De proefperiode eindigt van rechtswege. Kiest de Klant binnen die periode geen betaald pakket, dan wordt het account gesloten en worden de gegevens verwijderd volgens artikel 13.
4.3 Tijdens de proefperiode wordt de dienst geleverd zoals die op dat moment is. De beschikbaarheidsnorm uit artikel 10 geldt dan niet.
4.4 De Klant verstrekt juiste en volledige gegevens en houdt die actueel. De Klant is verantwoordelijk voor het gebruik van het account, voor de eigen inloggegevens en voor de handelingen van personen aan wie de Klant toegang geeft.
4.5 RecordFlower mag een aanvraag of een account weigeren, zonder opgaaf van reden en zonder daarvoor schadeplichtig te zijn.
5. De dienst
5.1 RecordFlower verleent de Klant voor de duur van de overeenkomst een niet-exclusief, niet-overdraagbaar recht om de dienst te gebruiken. De inhoud van het pakket, de add-ons en de bijbehorende limieten staan op de website en in de beheeromgeving.
5.2 De dienst wordt geleverd zoals die op het moment van gebruik beschikbaar is. RecordFlower staat er niet voor in dat de dienst geschikt is voor een doel dat de Klant voor ogen heeft en dat niet schriftelijk is overeengekomen, en evenmin dat de dienst ononderbroken of foutloos werkt.
5.3 Voor zover de Klant de Dienst koppelt aan een Verkoopkanaal: dat Verkoopkanaal is de bron van de daar gevoerde voorraad. De synchronisatie werkt met vertragingen die inherent zijn aan het werken met meerdere kanalen. Dat een artikel binnen dat venster op meerdere kanalen wordt verkocht, is geen tekortkoming van RecordFlower. Voorraad die de Klant voert in de eigen catalogus van RecordFlower kent dit risico niet en valt niet onder deze bepaling.
5.4 De betaaldienstverlener en elk Verkoopkanaal dat de Klant koppelt, zijn derden met wie de Klant een eigen relatie op eigen naam heeft. RecordFlower heeft geen invloed op hun beleid, tarieven, beschikbaarheid, verificatie of besluitvorming, is daarvoor niet aansprakelijk en is niet aansprakelijk voor de gevolgen van het wegvallen, beperken of wijzigen van hun diensten of voorwaarden, waaronder gederfde omzet en de kosten van een alternatief. Zie ook artikel 20 en artikel 21.
5.5 Betalingen van kopers lopen rechtstreeks naar het eigen account van de Klant bij de betaaldienstverlener. Het geld loopt niet via RecordFlower. RecordFlower rekent geen commissie en geen opslag op de transactiekosten. Chargebacks, terugboekingen en de daarbij horende vergoedingen wikkelt de betaaldienstverlener rechtstreeks met de Klant af; RecordFlower heeft geen invloed op de uitkomst daarvan. Artikel 21 werkt dit uit en gaat vóór dit artikel.
5.6 Ondersteuning wordt geleverd via het ticketsysteem en via WhatsApp, op werkdagen van 09:00 tot 17:00. Meldingen worden geregistreerd via support@recordflower.com. Wat via WhatsApp binnenkomt en opvolging vraagt, zet RecordFlower zelf om in een ticket. Zie artikel 10.
5.7 Het uitwisselen van gegevens tussen de Dienst en een gekoppeld Verkoopkanaal is niet gelimiteerd en wordt niet apart in rekening gebracht. RecordFlower bepaalt de technische inrichting van die uitwisseling en kan de frequentie ervan aanpassen. De eigen catalogus van RecordFlower wordt door het platform zelf bijgehouden; daarop is geen door de Klant te starten synchronisatie van toepassing.
5.8 RecordFlower levert het verkoopkanaal en niet het publiek. RecordFlower verbindt zich niet aan bezoekersaantallen, vindbaarheid, posities in zoekmachines, conversie of omzet, en geeft daarover geen resultaatsverbintenis. De promotie van de eigen webshop ligt bij de Klant. Functionaliteit die de vindbaarheid ondersteunt, wordt geleverd voor zover die tot het gekozen pakket of tot een afgenomen add-on behoort.
6. Verplichtingen van de Klant
6.1 De Klant leeft de voorwaarden van de betaaldienstverlener na en, voor zover de Klant een Verkoopkanaal koppelt, de voorwaarden van dat Verkoopkanaal, en gebruikt de Dienst in overeenstemming met de wet en met deze voorwaarden. Artikel 20 werkt uit wat dat voor een gekoppeld Verkoopkanaal betekent.
6.2 De Klant staat in voor de juistheid van artikelgegevens, prijzen, condities, verzendkosten en levertijden, en handelt bestellingen, retouren en klachten van kopers zelf af.
6.3 De Klant beschikt over de rechten op alles wat de Klant plaatst of aanlevert, waaronder teksten, foto's, logo's, handelsnamen of geluidsfragmenten, of gebruikt die met toestemming van de rechthebbende. Voor geluidsfragmenten bevestigt de Klant dat per upload actief in de beheeromgeving; zonder die bevestiging wordt het fragment niet gepubliceerd.
6.4 Niet toegestaan is: het aanbieden van artikelen waarvan de verkoop verboden is of inbreuk maakt op rechten van derden, het geautomatiseerd overbelasten van de dienst, het omzeilen van limieten, intervallen of beveiligingsmaatregelen, het doorverkopen, onderverhuren of anderszins beschikbaar stellen van de dienst aan derden, het toegang geven aan derden buiten de eigen organisatie, en het gebruiken van de dienst voor andere doeleinden dan de eigen verkoop.
6.5 De Klant meldt een vermoeden van misbruik van het account of van een beveiligingsprobleem onverwijld bij RecordFlower.
6.6 De Klant levert tijdig aan wat RecordFlower nodig heeft om te kunnen leveren, waaronder, voor zover van toepassing, autorisatie op een gekoppeld Verkoopkanaal, een geverifieerd account bij de betaaldienstverlener, toegang tot de DNS-instellingen en de eigen content, waaronder de eigen catalogusgegevens, foto's en voorraadinformatie. Blijft dat uit, dan schuiven de bijbehorende termijnen op met de duur van die vertraging.
6.7 Schakelt de Klant naast de webshop een dienst van een derde in, waaronder een statistiekpakket of een marketingtool, dan is de Klant daarvoor zelf verwerkingsverantwoordelijke en zorgt de Klant voor de vereiste grondslag, de toestemming van bezoekers en de vermelding in de eigen privacyverklaring. Dat geldt ook wanneer RecordFlower de koppeling op verzoek van de Klant tot stand brengt.
6.8 Ontvangt RecordFlower een onderbouwde melding dat door de Klant geplaatste inhoud inbreuk maakt op rechten van derden, dan kan RecordFlower die inhoud ontoegankelijk maken en informeert RecordFlower de Klant daarover met de melding erbij. De Klant kan onderbouwen dat het gebruik rechtmatig is. RecordFlower beoordeelt het geschil tussen de Klant en de melder niet inhoudelijk. Bij herhaalde gegronde meldingen kan RecordFlower de betreffende functionaliteit voor de Klant uitschakelen; dat is een dienstbeperking en geen opzegging. Artikel 32 beschrijft de meldprocedure.
6.9 De Klant is daarnaast verantwoordelijk voor: het instellen en naleven van een cookiemelding en toestemmingsbeheer op de eigen webshop; de inhoud van mededelingen die de Klant zelf aan kopers toont, waaronder de mededelingen die een koper bij het afrekenen moet aanvaarden; de persoonsgegevens van kopers die een account, een verlanglijst of een contactbericht bij de webshop achterlaten; het beheer van de eigen instellingen, waaronder het belastingregime, de verzendmethoden en tarieven, de kortingen en de doorverwijzingen; de controle van de gegevens die aan een vervoerder worden doorgegeven; de controle van de facturen en creditnota's die de dienst in naam van de Klant opmaakt; en de controle van het resultaat van een invoer vanuit een andere winkel of uit een bestand, waarbij een invoerhulpmiddel van RecordFlower een hulpmiddel is en geen garantie op een juiste uitkomst.
7. Prijzen, facturatie en betaling
7.1 De tarieven staan op de website en in de beheeromgeving. Alle bedragen zijn exclusief btw, tenzij uitdrukkelijk anders vermeld.
7.2 Het abonnement en de add-ons worden vooraf gefactureerd, per kalendermaand of per jaar, afhankelijk van de gekozen termijn. Bij start gedurende de maand wordt de eerste periode naar rato berekend. Eenmalige kosten worden bij opdracht vooraf gefactureerd.
7.3 Onderdelen die per gebruik worden afgerekend, worden achteraf in rekening gebracht tegen het op de website vermelde tarief. Dat gebeurt op twee manieren. Bevat het pakket voor een onderdeel een inbegrepen hoeveelheid, dan wordt alleen het verbruik daarboven in rekening gebracht. Bevat het pakket geen inbegrepen hoeveelheid, dan wordt het verbruik vanaf de eerste eenheid in rekening gebracht; het vertalen met kunstmatige intelligentie uit artikel 30 werkt zo. Is voor een onderdeel geen tarief op de website vermeld, dan wordt daarvoor niets in rekening gebracht. Voor synchronisaties geldt geen limiet en geen tarief; zie artikel 5.7.
7.4 De betaaltermijn is veertien dagen na factuurdatum, tenzij betaling per automatische incasso of kaartbetaling plaatsvindt; in dat geval wordt op of na de factuurdatum geïncasseerd.
7.5 Verrekening en opschorting door de Klant zijn niet toegestaan. Omzet, transactiekosten en chargebacks lopen via het eigen account van de Klant bij de betaaldienstverlener en worden nooit met het abonnement verrekend.
7.6 Bij overschrijding van de betaaltermijn volgt een herinnering met een termijn van zeven dagen. Blijft betaling daarna uit, dan is de Klant van rechtswege in verzuim, is de wettelijke handelsrente verschuldigd en komen de buitengerechtelijke incassokosten volgens de Wet normering buitengerechtelijke incassokosten voor rekening van de Klant.
7.7 Bij verzuim kan RecordFlower de dienst opschorten na een aankondiging van ten minste veertien dagen. Opschorting raakt de webshop en niet de gegevens: de beheeromgeving blijft bereikbaar en een in het pakket begrepen exportfunctie blijft werken. Heractivering wordt in rekening gebracht tegen het uurtarief, met een minimum van één uur.
7.8 Een bezwaar tegen een factuur meldt de Klant binnen veertien dagen na factuurdatum, schriftelijk en gemotiveerd. Daarna geldt de factuur als aanvaard. Een bezwaar schort de betalingsverplichting niet op.
7.9 Werkzaamheden buiten het abonnement worden verricht op nacalculatie tegen het uurtarief dat op de website of in de overeenkomst is vermeld, na een urenindicatie vooraf en akkoord van de Klant. Een urenindicatie is een indicatie en geen vaste prijs; uitloop wordt gemeld vóórdat de betreffende uren worden gemaakt. Er wordt niet met vooruitbetaalde urentegoeden gewerkt.
7.10 Voor het vaststellen van het verbruik en van de gemeten beschikbaarheid leveren de gegevens uit de administratie van RecordFlower volledig bewijs op, behoudens tegenbewijs van de Klant.
8. Prijswijziging
8.1 RecordFlower past de tarieven eenmaal per jaar aan met ten hoogste de consumentenprijsindex alle huishoudens van het CBS over het voorafgaande kalenderjaar, vermeerderd met drie procentpunt. Deze aanpassing geeft geen recht op opzegging.
8.2 Een aanpassing wordt ten minste twee maanden vooraf schriftelijk aangekondigd, met de berekening erbij.
8.3 Een verhoging boven het maximum uit artikel 8.1 wordt eveneens ten minste twee maanden vooraf aangekondigd. De Klant kan de overeenkomst in dat geval opzeggen tegen de ingangsdatum van de verhoging, zonder dat een minimale looptijd daaraan in de weg staat.
8.4 Neemt het verbruik van de Klant substantieel toe, waaronder het aantal listings, de bezoekersaantallen of de verwerkingslast, dan kan RecordFlower de bijbehorende capaciteit en het bijbehorende tarief aanpassen. RecordFlower kan op dezelfde grond de frequentie van de gegevensuitwisseling uit artikel 5.7 aanpassen. Dat wordt vooraf afgestemd en staat los van de indexatie. Wordt er teruggeschaald, dan werkt dat dezelfde kant op.
9. Looptijd en opzegging
9.1 Een maandabonnement loopt per kalendermaand en is opzegbaar met inachtneming van één maand, tegen het einde van een kalendermaand.
9.2 Een jaarabonnement loopt twaalf maanden en wordt telkens stilzwijgend met twaalf maanden verlengd, tenzij de Klant uiterlijk één maand voor het einde van de lopende termijn opzegt. Een vooruitbetaald jaarbedrag wordt bij tussentijdse opzegging niet terugbetaald.
9.3 Is een minimale looptijd overeengekomen, dan blijven bij opzegging binnen die periode de resterende termijnen verschuldigd en worden die ineens gefactureerd. Dat geldt niet wanneer de opzegging voortvloeit uit een recht dat deze voorwaarden of de overeenkomst uitdrukkelijk geven.
9.4 Opzegging gebeurt schriftelijk of via de beheeromgeving.
9.5 RecordFlower kan de overeenkomst opzeggen met een aanzegtermijn van drie maanden. Binnen die termijn verandert er niets aan de dienstverlening.
9.6 Add-ons kunnen afzonderlijk worden opgezegd, met dezelfde termijn als het abonnement.
10. Beschikbaarheid en ondersteuning
10.1 RecordFlower streeft naar een beschikbaarheid van ten minste 99,9% per kalendermaand. Dit is een inspanningsverplichting en geen resultaatsverbintenis.
10.2 Buiten die norm vallen: aangekondigd gepland onderhoud, storingen bij een gekoppeld Verkoopkanaal, de betaaldienstverlener, de hostingpartij of een andere derde, overmacht, en uitval die voortkomt uit handelen van de Klant of uit koppelingen die op verzoek van de Klant met derden zijn gemaakt.
10.3 Onderhoud waarvoor de dienst kort onbereikbaar is, wordt vooraf aangekondigd en buiten de drukke uren gepland. Onderhoud dat geen onderbreking oplevert, wordt niet aangekondigd. Onderhoud dat geen uitstel duldt, waaronder het dichten van een beveiligingslek, mag zonder aankondiging worden uitgevoerd.
10.4 Meldingen gaan naar support@recordflower.com en worden automatisch geregistreerd als ticket met nummer en tijdstempel. Daarnaast is RecordFlower bereikbaar via WhatsApp. Beide kanalen zijn beschikbaar op werkdagen van 09:00 tot 17:00; dat is het venster waarin meldingen worden opgepakt. Wat via WhatsApp binnenkomt en opvolging vraagt, zet RecordFlower zelf om in een ticket en bevestigt dat per e-mail. Telefonische ondersteuning maakt geen onderdeel uit van de dienst.
10.5 RecordFlower bevestigt iedere melding en laat weten wat wordt vastgesteld en welke actie wordt ondernomen, en bepaalt de prioriteit aan de hand van de melding. Er gelden geen vaste reactie- of hersteltijden, tenzij die in een afzonderlijk ondertekende overeenkomst zijn vastgelegd.
10.6 Er bestaat geen aanspraak op creditering of andere compensatie bij uitval of bij de behandeltermijn van een melding, tenzij partijen daarover afzonderlijk en schriftelijk iets anders zijn overeengekomen. Is zo'n regeling overeengekomen, dan is die de enige en uitsluitende remedie.
10.7 Een gebrek meldt de Klant binnen veertien dagen na ontdekking, schriftelijk en met een omschrijving die RecordFlower in staat stelt het gebrek te reproduceren. RecordFlower spant zich naar beste vermogen in om fouten binnen een redelijke termijn te herstellen, mag daarbij tijdelijke oplossingen aanbrengen en mag herstel uitstellen tot een volgende versie van de software.
11. Wijziging van de dienst en van deze voorwaarden
11.1 RecordFlower ontwikkelt de dienst door en kan functionaliteit toevoegen, wijzigen, vervangen of beëindigen. Verbeteringen, bugfixes en updates komen zonder extra kosten beschikbaar.
11.2 Raakt een wijziging de Klant wezenlijk nadelig, dan kondigt RecordFlower die ten minste dertig dagen vooraf aan en kan de Klant de overeenkomst opzeggen tegen de ingangsdatum van de wijziging, zonder dat een minimale looptijd daaraan in de weg staat.
11.3 Nieuwe functionaliteit kan als add-on worden aangeboden tegen een maandelijks tarief, of in een ander pakket worden ondergebracht. De Klant beslist zelf of daar gebruik van wordt gemaakt.
11.4 Alles wat RecordFlower in opdracht van een klant bouwt, is een platformfunctie. RecordFlower is vrij die functionaliteit aan andere klanten aan te bieden, ook wanneer de opdrachtgever de ontwikkelkosten heeft betaald. Er geldt geen exclusiviteit, tenzij partijen dat afzonderlijk en schriftelijk overeenkomen tegen een afzonderlijke vergoeding. Daar staat tegenover dat de Klant uitsluitend de bestede uren betaalt en dat de storingen, het herstel en het onderhoud van het gebouwde binnen het maandbedrag blijven.
11.5 RecordFlower kan deze voorwaarden wijzigen. Een wijziging wordt ten minste dertig dagen vooraf aangekondigd, zowel per e-mail op het adres dat bij het account is vastgelegd als met een melding in het dashboard, en gaat daarna gelden. Raakt de wijziging de Klant wezenlijk nadelig, dan kan de Klant opzeggen tegen de ingangsdatum. Wijzigingen die voortvloeien uit gewijzigde wetgeving of een uitspraak van een toezichthouder gaan in zonder opzegrecht.
11.6 Bij een wezenlijke wijziging vraagt het dashboard de Klant de gewijzigde voorwaarden uitdrukkelijk te aanvaarden. RecordFlower legt vast welke versie is aanvaard, op welk moment en vanaf welk IP-adres. Voor die vastlegging is RecordFlower zelf verwerkingsverantwoordelijke; de privacyverklaring beschrijft haar. Aanvaardt de Klant niet, dan behoudt de Klant volledige toegang tot het dashboard en tot de webshop; RecordFlower vraagt naar de reden en stelt de vraag daarna eenmaal per dag opnieuw. Voortgezet gebruik van de dienst geldt in dat geval niet als aanvaarding. Heeft de Klant zestig dagen na de ingangsdatum de gewijzigde voorwaarden nog niet aanvaard, dan kan RecordFlower de overeenkomst opzeggen volgens artikel 9.5; tot die opzegging blijft de laatst door de Klant aanvaarde versie tussen partijen gelden.
11.7 Wijzigingen die niet wezenlijk zijn, zoals het herstel van een schrijffout, een verduidelijking of een gewijzigd contactadres, gaan in zonder aanvaarding. RecordFlower verhoogt daarvoor wel het versienummer, maar vraagt niet opnieuw te aanvaarden.
12. Intellectuele eigendom
12.1 Alle rechten op de dienst, de software, de broncode, de repository, de architectuur, de documentatie en de vormgeving van het platform berusten bij RecordFlower of bij haar licentiegevers en blijven daar onder alle omstandigheden berusten. De Klant verkrijgt uitsluitend het gebruiksrecht uit artikel 5.1.
12.2 Maatwerk wordt gebouwd binnen het platform en op de codebase van RecordFlower. Er ontstaat geen recht op afgifte, inzage of overdracht van broncode, en geen afzonderlijk werk dat buiten de omgeving van RecordFlower functioneert. Broncode-escrow maakt geen deel uit van de standaarddienst; op verzoek werkt RecordFlower mee aan een escrowregeling bij een onafhankelijke derde, waarvan de kosten voor rekening van de Klant komen.
12.3 De Klant mag de dienst niet decompileren, reverse engineeren, kopiëren of nabouwen, behoudens de dwingendrechtelijke uitzonderingen daarop.
12.4 De content van de Klant blijft van de Klant. De Klant verleent RecordFlower het recht die content te gebruiken voor zover dat nodig is om de dienst te leveren.
12.5 De gegevens waarmee RecordFlower de catalogus samenstelt, zijn afkomstig uit verschillende bronnen: publiek beschikbare, rechtenvrij gepubliceerde datasets, waaronder van Discogs en MusicBrainz, de Cover Art Archive, en gegevens die worden verkregen via een Verkoopkanaal waaraan de Klant de Dienst koppelt. Deze gegevens zijn niet van RecordFlower en niet van de Klant. Op het gebruik ervan zijn de licentie- of gebruiksvoorwaarden van de betreffende bron van toepassing. De Klant verveelvoudigt, verstrekt of hergebruikt die gegevens niet buiten de eigen webshop, tenzij de toepasselijke voorwaarden dat uitdrukkelijk toestaan. Voor zover de Klant gegevens rechtstreeks via een gekoppeld Verkoopkanaal ophaalt, is daarnaast artikel 20 van toepassing.
12.6 Doet de Klant een suggestie, verbetervoorstel of functiewens, dan mag RecordFlower die vrij en zonder vergoeding gebruiken en verwerken in de dienst.
12.7 RecordFlower noemt de handelsnaam of het logo van de Klant alleen als referentie nadat de Klant daarvoor per keer schriftelijk toestemming heeft gegeven, en legt vooraf voor waar de vermelding komt te staan en in welke vorm. Omzet, marges, klantgegevens en andere niet-openbare bedrijfsgegevens vallen daar nooit onder. De Klant kan een gegeven toestemming schriftelijk intrekken, waarna de vermelding binnen dertig dagen wordt verwijderd.
12.8 De Klant verleent RecordFlower een niet-exclusieve, royaltyvrije, wereldwijde licentie om de afbeeldingen die de Klant uploadt, waaronder hoesfoto's en conditiefoto's, te gebruiken, op te slaan en op te nemen in de gedeelde centrale catalogus- en beeldpool van het platform, en om die afbeeldingen te tonen bij het betreffende item, ook in de webshops van andere klanten op het platform. Deze licentie geldt uitsluitend voor afbeeldingen die de Klant zelf uploadt en waarvan de Klant de rechten bezit.
12.9 De Klant garandeert dat hij gerechtigd is de door hem geüploade afbeeldingen te uploaden en de licentie uit artikel 12.8 te verlenen, en dat dit geen inbreuk maakt op rechten van derden. De Klant vrijwaart RecordFlower tegen aanspraken van derden die daarop betrekking hebben.
13. Gegevens, privacy en export
13.1 De Klant is verwerkingsverantwoordelijke en RecordFlower is verwerker voor de persoonsgegevens die via de dienst worden verwerkt. De verwerkersovereenkomst maakt onderdeel uit van de overeenkomst en gaat vóór deze voorwaarden waar het de verwerking van persoonsgegevens betreft.
13.2 Hosting, opslag en back-ups vinden in Nederland plaats. Doorgifte buiten de Europese Economische Ruimte vindt uitsluitend plaats op een geldige grondslag en uitsluitend aan de subverwerkers die in de verwerkersovereenkomst zijn benoemd. Die opsomming omvat mede de partijen die worden ingeschakeld voor het vertalen van teksten, het optimaliseren van afbeeldingen, het bepalen van een land bij een IP-adres en het aanleveren van productgegevens aan zoekmachines.
13.3 Bij het einde van de overeenkomst levert RecordFlower op schriftelijk verzoek eenmaal een volledige uitlevering van de gegevens van de Klant, in een gangbaar en machineleesbaar formaat, binnen tien werkdagen na de opzegdatum. Deze uitlevering is kosteloos.
13.4 Omvat het pakket van de Klant een exportfunctie in de beheeromgeving, dan haalt de Klant daarnaast op elk moment zelfstandig een volledige export op, zonder tussenkomst van RecordFlower en zonder kosten, ook op de laatste dag van de overeenkomst. De export omvat mede de eigen catalogus, voor zover de Klant die afneemt. Het archief bevat namen, adressen en e-mailadressen van kopers; RecordFlower bewaart het bestand zeven dagen en verwijdert het daarna. Vanaf het moment van downloaden is de Klant zelf verantwoordelijk voor de bewaring en de beveiliging ervan.
13.5 Na afloop van de overeenkomst blijft de beheeromgeving bereikbaar, zodat de Klant de uitlevering kan controleren en een export kan ophalen. RecordFlower bewaart de gegevens daarna nog ten hoogste zestig dagen; vóór verwijdering ontvangt de Klant een aankondiging per e-mail. Het gebruikersaccount blijft gedurende deze bewaartermijn gewoon toegankelijk; na de verwijdering blijft het gebruikersaccount bestaan, maar is de winkel daaraan niet langer gekoppeld. Na verwijdering bewaart RecordFlower ten hoogste 31 dagen een versleutelde reservekopie; persoonsgegevens in overige back-ups verdwijnen door het verlopen van de bewaartermijn van 31 dagen. De autorisatie op een gekoppeld Verkoopkanaal wordt direct bij ontkoppeling of bij het einde van de overeenkomst ingetrokken en verwijderd.
13.6 Een databasedump met veldbeschrijving levert RecordFlower op schriftelijk verzoek, tegen het uurtarief met een minimum van twee uur. Hetzelfde geldt voor bijstand bij een overstap naar een andere leverancier of voor een levering in een ander formaat. RecordFlower kan een dergelijk verzoek weigeren of er voorwaarden aan verbinden, bijvoorbeeld wanneer de uitlevering van artikel 13.3 of de exportfunctie van artikel 13.4 al in de behoefte voorziet; een weigering wordt gemotiveerd.
13.7 RecordFlower gebruikt volledig geanonimiseerde en geaggregeerde gegevens over het gebruik en de prestaties van het platform om de dienst te beheren, te beveiligen en te verbeteren. Die gegevens zijn niet herleidbaar tot de Klant, tot een koper of tot een individuele transactie.
13.8 RecordFlower gebruikt persoonsgegevens en klantspecifieke inhoud niet om modellen te trainen of te verbeteren die bij andere klanten worden ingezet, tenzij de Klant daar per geval schriftelijk mee instemt. Dat geldt ook voor de aanbieder van taalmodellen die RecordFlower voor het vertalen inschakelt.
13.9 RecordFlower kondigt een nieuwe of vervangende subverwerker ten minste dertig dagen van tevoren aan, per e-mail of via een melding in het dashboard. De Klant kan binnen die termijn op gegevensbeschermingsgronden bezwaar maken. Komen partijen er niet uit, dan kan de Klant de betreffende dienst opzeggen tegen de datum waarop de wijziging ingaat, zonder dat een minimale looptijd daaraan in de weg staat.
14. Geheimhouding
14.1 Partijen behandelen alle niet-openbare informatie die zij van elkaar ontvangen als vertrouwelijk. Aan de zijde van de Klant betreft dat in elk geval bedrijfsgegevens, omzet, marges, inkoopprijzen, leveranciersrelaties, klantgegevens, orderdata en plannen. Aan de zijde van RecordFlower betreft dat in elk geval de architectuur, de werkwijze, de tarieven, de beveiligingsbevindingen en de niet-openbare documentatie.
14.2 De verplichting geldt tijdens de overeenkomst en drie jaar daarna, en geldt niet voor informatie die openbaar is of wordt zonder schending van deze bepaling, of waarvan de wet verstrekking verlangt. Op persoonsgegevens blijft daarnaast de verwerkersovereenkomst van toepassing, zonder termijn.
15. Aansprakelijkheid
15.1 De aansprakelijkheid van RecordFlower voor schade is uitgesloten.
15.2 Voor zover een beroep op die uitsluiting in een concreet geval geen stand houdt, is de aansprakelijkheid van RecordFlower beperkt tot het bedrag dat de Klant in de twaalf maanden vóór de schadeveroorzakende gebeurtenis daadwerkelijk aan abonnementsgelden en aan vergoedingen voor verbruik heeft betaald, exclusief btw. Alle gebeurtenissen samen leveren per contractjaar nooit meer op dan dat bedrag.
15.3 In geen geval vergoedt RecordFlower gevolgschade, gederfde omzet, gemiste winst, gemiste besparingen, reputatieschade, schade door bedrijfsstilstand, schade door verlies van gegevens voor zover herstel uit back-up mogelijk is, schade van derden die op de Klant wordt verhaald, en schade veroorzaakt door derden.
15.4 Aansprakelijkheid ontstaat pas nadat de Klant RecordFlower schriftelijk in gebreke heeft gesteld en een redelijke hersteltermijn van ten minste dertig dagen heeft gegeven, tenzij nakoming blijvend onmogelijk is.
15.5 Een aanspraak vervalt als die niet binnen twaalf maanden na het ontstaan schriftelijk en gemotiveerd bij RecordFlower is gemeld.
15.6 Niet uitgesloten en niet beperkt zijn: opzet en bewuste roekeloosheid van RecordFlower, en aansprakelijkheid op grond van artikel 82 AVG. Een beperking tussen partijen werkt bovendien niet tegen betrokkenen en toezichthouders; die staan buiten deze voorwaarden.
15.7 Bij verlies van gegevens door een fout van RecordFlower herstelt RecordFlower kosteloos en met voorrang, tot en met het laatste beschikbare herstelpunt.
15.8 De uitsluitingen en beperkingen in dit artikel gelden ook ten behoeve van de personen en partijen die RecordFlower bij de uitvoering van de overeenkomst inschakelt.
16. Vrijwaring
De Klant vrijwaart RecordFlower tegen aanspraken van derden, waaronder kopers, rechthebbenden, een Verkoopkanaal, de betaaldienstverlener, de Belastingdienst en toezichthouders, die verband houden met de door de Klant aangeboden artikelen, de door de Klant geplaatste of aangeleverde content, de naleving van de verplichtingen uit artikel 03, 06 en 13, of het gebruik van de dienst in strijd met deze voorwaarden. De vrijwaring omvat de redelijke kosten van verweer.
De vrijwaring strekt zich uitdrukkelijk uit tot aanspraken over geluidsfragmenten en andere inhoud die de Klant uploadt of laat uploaden, en tot aanspraken die voortvloeien uit een door de Klant ingeschakelde dienst van een derde als bedoeld in artikel 6.7. Dat RecordFlower op grond van artikel 6.8 optreedt, laat de vrijwaring onverlet en houdt geen erkenning in.
De vrijwaring strekt zich eveneens uit tot aanspraken als bedoeld in artikel 20.6 en tot aanspraken die voortvloeien uit door de Klant verstrekte gegevens als bedoeld in artikel 22.
17. Overmacht
17.1 Overmacht is een omstandigheid buiten de wil van een partij die de nakoming tijdelijk of blijvend onmogelijk maakt en die de partij niet kan worden toegerekend. Daaronder vallen in elk geval: natuurrampen en extreem weer, brand, oorlog en terreur, een pandemie, overheidsmaatregelen, langdurige uitval van energie of telecommunicatie, een gerichte aanval van buitenaf op de infrastructuur, computercriminaliteit en digitaal vandalisme waaronder gijzelsoftware, uitval of tekortkoming van een toeleverancier of hostingpartij, en storingen of beleidswijzigingen bij een gekoppeld Verkoopkanaal, de betaaldienstverlener of de e-maildienst.
17.2 De verplichtingen die door de overmacht worden geraakt, worden opgeschort zolang de overmacht duurt. De getroffen partij meldt dat onverwijld en houdt de ander op de hoogte. Beide partijen beperken de gevolgen zoveel als redelijkerwijs mogelijk is.
17.3 Tijdens overmacht bestaat over en weer geen recht op schadevergoeding. De beschikbaarheidsnorm geldt niet voor de duur van de overmacht. Het deel van de dienst dat wel wordt geleverd, blijft verschuldigd.
17.4 Duurt de overmacht langer dan zestig aaneengesloten dagen, dan kan elk van partijen de overeenkomst per direct opzeggen, zonder schadeplicht en zonder dat een minimale looptijd daaraan in de weg staat.
17.5 De verplichtingen uit de verwerkersovereenkomst, waaronder de meldplicht bij een datalek, blijven tijdens overmacht van kracht.
18. Opschorting en beëindiging door RecordFlower
Wanneer RecordFlower kan ingrijpen, en wat RecordFlower dan kan.
Uitblijvende betaling — Opschorten volgens artikel 7.7. Blijft betaling daarna veertien dagen uit, dan kan RecordFlower de overeenkomst ontbinden met een schriftelijke aankondiging van zeven dagen.
Andere tekortkoming — Schriftelijke ingebrekestelling met een hersteltermijn van ten minste veertien dagen. Blijft herstel uit, dan kan RecordFlower ontbinden.
Gebruik dat de dienst of de toegang tot derden in gevaar brengt — Per direct opschorten, met onmiddellijke melding en opgaaf van reden. Is de situatie binnen veertien dagen niet hersteld, dan kan RecordFlower ontbinden. Dit geldt onder meer bij handelen in strijd met artikel 06, en bij dreiging voor de beveiliging, de werking van het platform of de dienstverlening aan andere klanten.
Schorsing of beëindiging door een Verkoopkanaal — De van dat Verkoopkanaal afhankelijke functies per direct opschorten volgens artikel 20.3. Duurt de schorsing langer dan dertig dagen, dan kan RecordFlower de overeenkomst opzeggen.
Betaalde bestelling die niet wordt uitgevoerd — De webshop opschorten volgens artikel 21.6, nadat de daar bedoelde termijn ongebruikt is verstreken.
Faillissement of surseance — Per direct opzeggen bij faillissement, surseance van betaling of beëindiging van de onderneming van de Klant, of wanneer op een aanmerkelijk deel van het vermogen van de Klant beslag wordt gelegd.
In alle gevallen — De regeling uit artikel 13 blijft gelden en de omgeving blijft veertien dagen bereikbaar. Opschorting raakt de dienst en niet de gegevens. Ontbinding of opzegging door RecordFlower ontslaat de Klant niet van betaling voor wat tot dat moment is geleverd; vooruitbetaalde bedragen over een periode waarin niet is geleverd, betaalt RecordFlower terug naar rato.
19. Slotbepalingen
19.1 RecordFlower mag de rechten en verplichtingen uit de overeenkomst overdragen aan een rechtsopvolger onder algemene of bijzondere titel, waaronder bij een omzetting van de rechtsvorm of een overname van de onderneming. De Klant kan dat niet zonder schriftelijke instemming van RecordFlower. RecordFlower mag haar vorderingen op de Klant aan een derde overdragen of verpanden.
19.2 RecordFlower mag bij de uitvoering derden inschakelen. Voor de verwerking van persoonsgegevens geldt daarvoor de procedure uit de verwerkersovereenkomst.
19.3 Is een bepaling nietig of vernietigbaar, dan blijven de overige bepalingen van kracht en vervangen partijen die bepaling door een geldige met zoveel mogelijk dezelfde strekking. Doet RecordFlower op enig moment geen beroep op een bepaling, dan verliest zij daarmee niet het recht dat later alsnog te doen.
19.4 Bepalingen die naar hun aard bedoeld zijn om na het einde voort te duren, blijven van kracht. Dat betreft in elk geval de artikelen 12, 13, 14, 15 en 16, de artikelen 20.5, 20.6, 21 en 22, en de artikelen 27, 28 en 32.
19.5 Bestaat de Klant uit meer dan een natuurlijke persoon of rechtspersoon, dan is ieder van hen hoofdelijk verbonden tot nakoming van de verplichtingen uit de overeenkomst.
19.6 Kennisgevingen gelden als schriftelijk wanneer zij per e-mail worden verzonden aan het adres dat bij het account is vastgelegd, of wanneer zij als mededeling in het dashboard worden geplaatst. De Klant houdt dat e-mailadres actueel.
19.7 Op de overeenkomst is Nederlands recht van toepassing. Het Weens Koopverdrag is niet van toepassing. Partijen treden eerst in overleg; leidt dat binnen dertig dagen niet tot een oplossing, dan is de rechtbank Overijssel, locatie Almelo, bij uitsluiting bevoegd.
19.8 Deze voorwaarden zijn opgesteld in het Nederlands. Van een vertaling gaat de Nederlandse tekst vóór bij verschil van uitleg. Deze voorwaarden vervangen alle eerdere versies. Zij zijn beschikbaar op recordflower.com/terms-of-service en worden op verzoek kosteloos toegezonden.
20. Verkoopkanalen
Dit artikel geldt voor zover de Klant de Dienst koppelt aan een Verkoopkanaal. Een Klant die de webshop uitsluitend met een eigen catalogus voert, is aan dit artikel niet gebonden. Heeft de Klant een afzonderlijk ondertekende overeenkomst die de koppeling met een specifiek Verkoopkanaal regelt, dan gaat die overeenkomst voor op dit artikel voor zover zij hetzelfde onderwerp regelt (artikel 2.3).
20.1 De Dienst kan worden gekoppeld aan een Verkoopkanaal. De Klant autoriseert die koppeling zelf, blijft de accounthouder bij het Verkoopkanaal, en blijft de partij die gebonden is aan de eigen voorwaarden van dat Verkoopkanaal voor al het gebruik dat via de Dienst plaatsvindt.
20.2 De Klant staat ervoor in dat hij houder is van een geldig en actief account in goede staat bij het Verkoopkanaal, dat hij de voorwaarden en het beleid van dat Verkoopkanaal heeft aanvaard en blijft naleven, en dat zijn gebruik van de Dienst er niet toe leidt dat de Klant of RecordFlower dat beleid schendt.
20.3 Schorst, beperkt of beëindigt een Verkoopkanaal het account of de toegang van de Klant, om welke reden dan ook, dan kan RecordFlower de daarvan afhankelijke onderdelen van de Dienst per direct opschorten. Die opschorting is geen tekortkoming van RecordFlower en geeft geen recht op terugbetaling, creditering of schadevergoeding.
20.4 RecordFlower treedt bij een koppeling op als technisch uitvoerder die namens de Klant gegevens uitwisselt met het Verkoopkanaal, en verstrekt die gegevens niet aan andere derden dan nodig is om de webshop van de Klant te tonen of om een functie te leveren die de Klant zelf heeft ingeschakeld.
20.5 RecordFlower is een onafhankelijke softwareleverancier en is niet gelieerd aan, gesponsord door, onderschreven door of anderszins officieel verbonden met enig Verkoopkanaal, tenzij uitdrukkelijk anders vermeld. De namen en merken van een Verkoopkanaal, waaronder "Discogs", een merk van Zink Media, LLC, zijn eigendom van de betreffende partij.
20.6 De Klant vrijwaart RecordFlower tegen elke aanspraak, vordering, boete, schade en kosten, waaronder de redelijke kosten van verweer, die voortvloeien uit een schending door de Klant van de voorwaarden of het beleid van een Verkoopkanaal, uit een aanspraak van een Verkoopkanaal jegens RecordFlower die verband houdt met het gebruik van de Dienst door de Klant, of uit oneigenlijk gebruik van gegevens die via het account van de Klant bij een Verkoopkanaal zijn verkregen. Deze vrijwaring geldt naast artikel 16 en blijft na het einde van de overeenkomst van kracht.
21. Betalingen van kopers, geschillen en terugboekingen
21.1 Betalingen van kopers worden verwerkt op het eigen account van de Klant bij de betaaldienstverlener. Het bedrag komt rechtstreeks in het saldo van de Klant en komt op geen enkel moment op een rekening van RecordFlower. De Klant is merchant of record: de bedrijfsnaam van de Klant staat op het afschrift van de koper en het vestigingsland bepaalt welke tarieven van de betaaldienstverlener gelden. De betaaldienstverlener brengt zijn verwerkingskosten rechtstreeks bij de Klant in rekening. RecordFlower houdt geen saldo voor de Klant aan, ontvangt geen deel van de verkoopopbrengst en rekent niets per bestelling.
21.2 Het tijdstip en de frequentie van uitbetalingen volgen uit het uitbetalingsschema van het eigen account van de Klant en uit de overeenkomst tussen de Klant en de betaaldienstverlener. RecordFlower stelt geen uitbetalingstermijn vast en kan een uitbetaling niet versnellen, uitstellen of tegenhouden.
21.3 De Klant voert elke bestelling die hij aanneemt zelf uit: verzenden, retouren afhandelen en terugbetalen waar de koper daar recht op heeft op grond van het toepasselijke recht of van de eigen winkelvoorwaarden van de Klant. Een terugbetaling wordt afgeschreven van het eigen saldo van de Klant; de verwerkingskosten van de betaaldienstverlener worden daarbij niet teruggegeven. RecordFlower is geen partij bij de koopovereenkomst tussen de Klant en de koper.
21.4 Betwist een koper een betaling, dan brengt de betaaldienstverlener het betwiste bedrag en de bijbehorende geschilkosten in rekening op het eigen account van de Klant. De Klant voert het verweer zelf en levert het bewijsmateriaal aan binnen de termijn die de betaaldienstverlener of de kaartmaatschappij stelt. RecordFlower draagt die kosten niet en heeft uit dien hoofde niets op de Klant te verhalen. RecordFlower markeert de bestelling in het dashboard als betwist en ondersteunt de Klant desgevraagd bij het samenstellen van bewijsmateriaal.
21.5 Een negatief saldo op het account van de Klant bij de betaaldienstverlener is, ongeacht de oorzaak, een aangelegenheid tussen de Klant en die betaaldienstverlener. Op de betaalrelatie is de overeenkomst van toepassing die de Klant bij het aanmaken van dat account is aangegaan. RecordFlower is technisch dienstverlener en geen betaaldienstverlener, en verricht geen betaaldiensten in de zin van de Wet op het financieel toezicht.
21.6 Meldt een koper dat een bestelling wel is betaald maar niet is verzonden, dan kan RecordFlower contact opnemen met de Klant en een redelijke termijn stellen om de bestelling alsnog te verzenden of de koper terug te betalen. Doet de Klant binnen die termijn geen van beide, dan kan RecordFlower de webshop opschorten volgens artikel 18. RecordFlower beoordeelt het geschil tussen de Klant en de koper niet inhoudelijk en treedt daarin niet op als partij.
21.7 Welke betaalmethoden een koper bij het afrekenen ziet, volgt uit de configuratie van het eigen account van de Klant bij de betaaldienstverlener. De Klant schakelt een methode daar zelf in of uit. Of een methode beschikbaar is, hangt af van de betaaldienstverlener, van het vestigingsland van de Klant en van de goedkeuring die de betaaldienstverlener daarvoor afgeeft. RecordFlower heeft daar geen invloed op, zegt geen enkele betaalmethode toe, en een methode die in uitingen van RecordFlower wordt afgebeeld is een voorbeeld en geen toezegging.
21.8 Dit artikel blijft na het einde van de overeenkomst van kracht voor zover het betalingen betreft die tijdens de looptijd zijn verwerkt.
21.9 Wordt een aankoop voltooid via een gekoppeld Verkoopkanaal in plaats van via de eigen webshop, dan verloopt de betaling van de koper niet via de betaaldienstverlener van de Klant maar via dat Verkoopkanaal, onder de betaal- en verwerkingsvoorwaarden die dat Verkoopkanaal daarvoor stelt. De leden 21.1 tot en met 21.8 zijn in dat geval niet van toepassing; artikel 20 regelt in plaats daarvan de verhouding tussen de Klant, RecordFlower en het Verkoopkanaal voor deze functie.
22. Btw-berekening
22.1 Voor een Klant die in de Europese Unie is gevestigd, berekent de dienst de btw over verkopen via de webshop. Die berekening vindt plaats op basis van de gegevens die de Klant zelf verstrekt: het fiscale regime, de registraties en de antwoorden op de vragen over de onderneming. De tarieven worden ontleend aan de openbare database van de Europese Commissie.
22.2 De Klant is verantwoordelijk voor de juistheid en de actualiteit van die gegevens en past ze aan zodra de situatie wijzigt.
22.3 RecordFlower bewaakt niet of de Klant de omzetdrempel voor grensoverschrijdende verkoop binnen de Europese Unie overschrijdt, controleert btw-identificatienummers uitsluitend op hun vorm en niet op hun bestaan of geldigheid, en verlegt geen btw naar zakelijke afnemers.
22.4 Kan de verschuldigde btw niet worden vastgesteld, dan wordt de bestelling niet afgerond. Dat voorkomt dat een onjuist bedrag wordt geïnd.
22.5 De tarieven en gebiedsregels waarop de berekening steunt, worden ontleend aan externe bronnen. RecordFlower staat er niet voor in dat die bronnen op ieder moment volledig en actueel zijn. Is een bron tijdelijk niet bereikbaar, dan wordt teruggevallen op de laatst bekende gegevens.
22.6 De berekening kan fouten bevatten. RecordFlower spant zich in om die te voorkomen en te herstellen, maar aanvaardt geen aansprakelijkheid voor de gevolgen daarvan, behoudens opzet of bewuste roekeloosheid en behoudens het bepaalde in artikel 15. De Klant blijft gehouden de eigen facturen te controleren.
22.7 De aangifte en de afdracht van btw blijven de eigen verantwoordelijkheid van de Klant, zoals bepaald in artikel 3.4. RecordFlower is geen fiscaal adviseur en aanvaardt geen aansprakelijkheid voor de fiscale gevolgen van door de Klant verstrekte onjuiste of verouderde gegevens.
23. Versiebeheer
Het versienummer en de datum van deze voorwaarden staan bovenaan dit document, samen met de versie die daarmee wordt vervangen en een omschrijving van wat er is gewijzigd. De nummering van de artikelen 01 tot en met 23 blijft ongewijzigd, zodat verwijzingen in lopende overeenkomsten blijven kloppen. Nieuwe onderwerpen worden toegevoegd vanaf artikel 24.
24. Onderhoud en back-ups
24.1 RecordFlower mag de dienst geheel of gedeeltelijk buiten gebruik stellen voor onderhoud, aanpassingen en beveiligingsupdates, met inachtneming van artikel 10.3.
24.2 RecordFlower maakt dagelijks een back-up van bestanden en database naar een tweede locatie in Nederland. De bewaartermijn is 31 dagen. Back-ups dienen het herstel na een storing en zijn geen archiefdienst voor de Klant. RecordFlower staat er niet voor in dat een afzonderlijk verwijderd item, een gewiste instelling of een overschreven tekst uit een back-up kan worden teruggehaald. Wil de Klant een eigen kopie, dan gebruikt de Klant de export uit artikel 13. Dit lid geldt onverminderd artikel 15.7: gaan gegevens verloren door een fout van RecordFlower, dan herstelt RecordFlower kosteloos en met voorrang.
24.3 Aanvullende voorzieningen zoals redundantie, een tweede omgeving of een gegarandeerde hersteltijd maken alleen deel uit van de overeenkomst wanneer dat uitdrukkelijk schriftelijk is overeengekomen.
25. Redelijk gebruik
25.1 De dienst wordt geleverd voor normaal gebruik door één webshop. De opslag, het dataverkeer en het aantal e-mails dat de dienst namens de Klant verstuurt vallen binnen de grenzen die bij het pakket zijn gepubliceerd. Ruimte die per periode in het pakket zit en niet wordt gebruikt, vervalt aan het einde van die periode en gaat niet mee naar een volgende periode.
25.2 Belast het gebruik van de Klant het platform zodanig dat andere klanten daar hinder van ondervinden, dan neemt RecordFlower eerst contact op. Komen partijen er samen niet uit, dan mag RecordFlower het verbruik begrenzen, de betreffende taken vertragen of een passend pakket voorstellen volgens artikel 8.4. Onmiddellijke beperking is alleen toegestaan wanneer de stabiliteit of de veiligheid van het platform acuut in gevaar is.
25.3 Het is niet toegestaan de dienst te gebruiken voor het verzenden van ongevraagde berichten, of voor het geautomatiseerd bevragen of uitlezen van het platform buiten de daarvoor bedoelde functies. Artikel 6.4 blijft daarnaast onverkort gelden.
26. Verzendlabels en vervoerders
26.1 De dienst kan verzendlabels aanmaken en zendingen volgen bij vervoerders waarmee de Klant zelf een contract heeft. De Klant voert daarvoor de eigen toegangsgegevens in. RecordFlower sluit geen vervoersovereenkomst en is geen partij bij de overeenkomst tussen de Klant en de vervoerder.
26.2 Op het vervoer zijn uitsluitend de voorwaarden en de tarieven van de vervoerder van toepassing. De vervoerder factureert rechtstreeks aan de Klant. RecordFlower ontvangt geen deel van de vervoerskosten en rekent niets per label.
26.3 RecordFlower geeft de gegevens door die de Klant en de koper hebben ingevoerd. De Klant controleert elk label voordat het wordt gebruikt. RecordFlower aanvaardt geen aansprakelijkheid voor een zending die verloren gaat, beschadigd raakt of te laat aankomt, voor een onjuist adres, voor een geweigerd of opgeheven afhaalpunt, of voor kosten die een vervoerder naheft omdat gewicht, afmeting of soort zending afweek van wat is opgegeven. De statusinformatie die de dienst toont, is afkomstig van de vervoerder; RecordFlower staat niet in voor de juistheid of de actualiteit daarvan.
26.4 Trekt de vervoerder de toegang van de Klant in of wijzigt hij zijn koppeling, dan kan RecordFlower de labelfunctie opschorten. Dat is geen tekortkoming van RecordFlower.
27. Facturen en creditnota's voor kopers
27.1 De dienst maakt de verkoopfactuur op en, waar van toepassing, de creditnota die de koper ontvangt. Die documenten worden opgemaakt in naam van de Klant, met de bedrijfsgegevens, de nummerreeks en het belastingregime van de Klant. De Klant is de opsteller van die documenten en blijft daarvoor verantwoordelijk tegenover de koper en tegenover de belastingdienst.
27.2 RecordFlower kent de nummers doorlopend toe. Wijzigt de Klant de bedrijfsgegevens of het belastingregime, dan werkt dat door in documenten die daarna worden opgemaakt en niet met terugwerkende kracht in documenten die al zijn verzonden.
27.3 De Klant controleert de eerste documenten die de dienst opmaakt en daarna steekproefsgewijs, en meldt een fout zo spoedig mogelijk. RecordFlower herstelt fouten in de software, maar aanvaardt geen aansprakelijkheid voor de fiscale of administratieve gevolgen van een onjuist document, behoudens opzet of bewuste roekeloosheid en behoudens het bepaalde in artikel 15. Het bewaren van de eigen administratie gedurende de wettelijke termijn is de verantwoordelijkheid van de Klant.
28. Herroeping door kopers
28.1 De dienst kan de kopers van de Klant een herroepingsfunctie bieden waarmee een consument een overeenkomst op afstand binnen de wettelijke bedenktijd kan ontbinden. RecordFlower legt die verklaring vast en bevestigt de ontvangst namens de Klant aan de koper op een duurzame gegevensdrager.
28.2 Bij een herroeping legt RecordFlower vast wie de verklaring heeft gedaan, op welk moment en op welke bestelling zij betrekking heeft, samen met het IP-adres waarvandaan de verklaring is verzonden. Die vastlegging dient als bewijs dat en wanneer de verklaring de Klant heeft bereikt. Een IP-adres is een persoonsgegeven; RecordFlower verwerkt het uitsluitend voor dit doel en op instructie van de Klant, en bewaart het niet langer dan nodig is voor dat doel en voor de wettelijke bewaartermijn die op de administratie van de Klant van toepassing is. De Klant is voor deze verwerking verwerkingsverantwoordelijke.
28.3 De afhandeling van de herroeping blijft de verantwoordelijkheid van de Klant. Dat geldt voor de beoordeling of de bedenktijd van toepassing is en nog loopt, voor de terugbetaling van het aankoopbedrag en de verzendkosten binnen de wettelijke termijn, en voor de afspraken over de retourzending. RecordFlower levert de knop en de vastlegging, is geen partij bij de koopovereenkomst en geeft daarover geen juridisch advies. Welke uitzonderingen op de wettelijke bedenktijd gelden voor het aanbod van de Klant, beoordeelt de Klant zelf.
29. Eigen domeinnaam en beveiligingscertificaat
29.1 Omvat het pakket een eigen domeinnaam, dan koppelt de Klant een zelf geregistreerde domeinnaam aan de webshop. De domeinnaam blijft van de Klant. RecordFlower registreert, verlengt of beheert de domeinnaam niet en treedt niet op als registrar.
29.2 De Klant stelt de door RecordFlower opgegeven DNS-records in bij de eigen provider. RecordFlower vraagt een beveiligingscertificaat aan zodra die records juist staan ingesteld en verlengt dat automatisch, bij een externe certificaatverstrekker. RecordFlower aanvaardt geen aansprakelijkheid voor vertraging of uitval die het gevolg is van onjuiste DNS-instellingen, van de domeinprovider of van de certificaatverstrekker.
29.3 Vervalt de domeinnaam, wijzigt de Klant de DNS-records of eindigt het pakket dat deze functie bevat, dan is de webshop via die domeinnaam niet langer bereikbaar. De webshop blijft in dat geval bereikbaar via het adres op recordflower.com dat bij het account hoort.
30. Kunstmatige intelligentie
30.1 De dienst kan teksten voor de webshop vertalen met kunstmatige intelligentie. Deze functie is optioneel. De Klant start een vertaling zelf en ziet vooraf een schatting van de kosten; het werkelijke verbruik wordt afgerekend volgens artikel 7.3.
30.2 Uitkomsten van kunstmatige intelligentie zijn niet altijd juist, volledig of consistent, en dezelfde tekst kan bij een volgende poging een ander resultaat opleveren. RecordFlower staat niet in voor de juistheid van een vertaling en evenmin voor de geschiktheid daarvan voor een juridische, fiscale of medische mededeling. De Klant beoordeelt elke vertaling voordat die wordt gepubliceerd; publicatie zonder controle komt voor rekening van de Klant.
30.3 Voor het vertalen wordt de aangeboden tekst verwerkt door een externe aanbieder van taalmodellen, die in de verwerkersovereenkomst is benoemd. Alleen de tekst die de Klant laat vertalen wordt aangeboden. Op het gebruik van die tekst voor het trainen van modellen is artikel 13.8 van toepassing. De Klant biedt geen persoonsgegevens of vertrouwelijke gegevens ter vertaling aan die daar niet voor bestemd zijn.
30.4 De Klant zorgt voor een toereikend niveau van kennis van kunstmatige intelligentie bij de personen die deze functie namens de Klant gebruiken, zoals de Europese verordening inzake kunstmatige intelligentie voorschrijft.
31. Vindbaarheid, productfeeds en doorverwijzingen
31.1 De dienst kan een sitemap opmaken, een productfeed aanleveren aan een zoekmachine of vergelijkingsdienst, en oude adressen van een vorige webshop doorverwijzen naar een pagina in de nieuwe. Bij gebruik van deze functies worden de productgegevens van de Klant doorgegeven aan de betreffende zoekmachine of vergelijkingsdienst.
31.2 RecordFlower levert het technische hulpmiddel. Of een zoekmachine de pagina's opneemt, op welke positie zij verschijnen en of een feed wordt goedgekeurd, bepaalt die zoekmachine zelf. Artikel 5.8 is daarop onverkort van toepassing.
31.3 De inhoud van de feed en de bestemming van een doorverwijzing bepaalt de Klant. Een automatisch voorgestelde koppeling tussen een oud en een nieuw adres is een hulpmiddel dat de Klant controleert. Een oud adres waarvoor de Klant geen bestemming kiest, blijft een foutmelding tonen.
32. Meldingen over onrechtmatige inhoud en klachten
32.1 RecordFlower host de webshops van klanten en bepaalt de inhoud daarvan niet. Meent iemand dat de inhoud van een webshop op het platform onrechtmatig is of inbreuk maakt op een recht, dan kan die dat melden via het adres in artikel 34. Een melding bevat ten minste: een voldoende onderbouwde uiteenzetting van de redenen waarom de inhoud onrechtmatig is; het exacte elektronische adres waarop de inhoud te vinden is; de naam en het e-mailadres van de melder, behalve wanneer de melding betrekking heeft op seksueel misbruik van kinderen of daarmee samenhangende strafbare feiten; en een verklaring dat de melder te goeder trouw meent dat de melding juist en volledig is.
32.2 RecordFlower behandelt een voldoende onderbouwde melding binnen een redelijke termijn en kan de betreffende inhoud ontoegankelijk maken, de webshop opschorten of de melding aan de Klant doorgeven, met inachtneming van artikel 6.8. RecordFlower stelt de Klant op de hoogte van een genomen maatregel, tenzij de wet zich daartegen verzet. Die kennisgeving vermeldt de redenen voor de maatregel, en de Klant kan daartegen binnen zes maanden bezwaar maken via het adres in artikel 34.
32.3 Heeft de Klant een klacht over de dienst of over een maatregel van RecordFlower, dan meldt de Klant die eerst bij RecordFlower. RecordFlower bevestigt de ontvangst en reageert inhoudelijk binnen een redelijke termijn. Komen partijen er niet uit, dan staat de weg van artikel 19.7 open. Meldingen die kennelijk ongegrond zijn of stelselmatig worden gedaan, hoeft RecordFlower niet in behandeling te nemen.
33. Beveiliging en toegangsmiddelen
33.1 RecordFlower beveiligt de dienst op een niveau dat, gelet op de stand van de techniek, de kosten van uitvoering en de aard van de verwerkte gegevens, niet onredelijk is. RecordFlower staat er niet voor in dat die beveiliging onder alle omstandigheden doeltreffend is.
33.2 Toegangsmiddelen die RecordFlower verstrekt, waaronder wachtwoorden, tweefactorcodes en herstelcodes, zijn vertrouwelijk. Beschikt het account over meer dan een gebruiker, dan beheert de Klant zelf wie toegang heeft en trekt de Klant de toegang van een vertrekkende medewerker onverwijld in. RecordFlower is niet aansprakelijk voor schade door misbruik van toegangsmiddelen, tenzij dat misbruik het rechtstreekse gevolg is van opzet of bewuste roekeloosheid van RecordFlower.

35. AI-productlistings
35.1 De Dienst kan een foto van een artikel geautomatiseerd laten analyseren om productgegevens voor te stellen: herkenning van de release, een inschatting van de conditie en een prijssuggestie op basis van marktgegevens. Het resultaat kan worden gepubliceerd als eigen artikel in de catalogus van de Klant, of, voor zover de Klant een Verkoopkanaal koppelt, als aanbieding bij dat Verkoopkanaal. Deze functie is optioneel.
35.2 Voor iedere analyse die de dienst uitvoert, wordt een vergoeding per gebruik in rekening gebracht volgens het op de website vermelde tarief; artikel 7.3 is daarop van toepassing. Die vergoeding is ook verschuldigd wanneer de analyse niet tot een overeenkomende release op een Verkoopkanaal leidt of wanneer het artikel niet wordt gepubliceerd.
35.3 De resultaten van deze functie — de herkenning van de release, de persingmatch, de conditie-inschatting en de prijssuggestie — zijn geautomatiseerde schattingen. Zij kunnen fouten bevatten, waaronder een verkeerd herkende plaat, een verkeerde persing, een onjuiste conditie of een prijs die afwijkt van de werkelijke marktwaarde. RecordFlower staat niet in voor de juistheid, de volledigheid of de actualiteit van deze resultaten en aanvaardt geen aansprakelijkheid voor schade die voortvloeit uit het gebruik of het publiceren ervan, ook niet wanneer de Klant de resultaten ongewijzigd heeft overgenomen.
35.4 Kiest de Klant voor plaatsing bij een Verkoopkanaal, dan gebeurt dat via de eigen koppeling van de Klant met dat kanaal, namens en voor rekening van de Klant, onder de voorwaarden van dat Verkoopkanaal. Artikel 20 is daarop van toepassing.
35.5 De Klant controleert elk resultaat voordat een artikel wordt gepubliceerd en blijft volledig verantwoordelijk voor de inhoud, de prijs en de rechtmatigheid van het aanbod, zowel in de eigen webshop als op een Verkoopkanaal. Publicatie geldt als aanvaarding van de gegevens door de Klant.
These Terms apply to every customer of RecordFlower. They are written to be read: short sections, plain language, and no references to provisions that are not there.
1. Definitions
What the terms mean.
RecordFlower — RecordFlower V.O.F., registered in the Dutch commercial register under number 99565285.
Customer — The party that enters into an agreement with RecordFlower or creates an account.
Service — RecordFlower's SaaS platform, including the webshop, the dashboard, the inventory management, the synchronisation with a connected Sales channel, the hosting and the support.
Agreement — The arrangement between the parties on the delivery of the Service, including a subscription concluded online and a separately signed service agreement.
Subscription — The plan chosen by the Customer, with the functionality and add-ons belonging to it.
Sales channel — An external service or marketplace to which the Customer can connect the Service in order to synchronise inventory and/or through which a purchase by a buyer can be completed, currently for example Discogs. RecordFlower may offer a connection with another Sales channel without these Terms being amended for it; the provisions on Sales channels in these Terms then apply in full to that other channel.
Payment service provider — The party that processes buyers' payments into the Customer's own account, currently Stripe.
Website — recordflower.com, including the plans, rates and functionality stated there.
Data processing agreement — The agreement under Article 28(3) GDPR that is generated per account or signed separately.
In writing — By email or through the dashboard, unless expressly stated otherwise.
2. Applicability and order of precedence
2.1 These Terms apply to every offer, quotation, trial period, agreement and delivery by RecordFlower, and to the use of the Service.
2.2 Purchasing conditions or other general terms of the Customer do not apply and are expressly rejected, including where a document of the Customer refers to them.
2.3 In the event of a conflict the following order applies: the data processing agreement prevails on everything concerning the processing of personal data, then the annexes to a separately signed service agreement, then the service agreement, and then these Terms. Within these Terms, the special provisions in sections 20, 21 and 22 prevail over the general provisions in sections 01 through 19, to the extent that they conflict. Sections 24 through 34 apply alongside sections 01 through 19 and prevail over them to the extent they govern the same subject; where they conflict with sections 20 through 22, the latter prevail. Section 15 governs liability in all cases: a liability provision in sections 24 through 34 operates within the limits of section 15 and not beyond them.
2.4 Where the Customer has no separately signed service agreement, only these Terms, the data processing agreement and what the website states about the chosen plan apply.
2.5 Departures from these Terms apply only where RecordFlower has confirmed them in writing, and only for the case for which they were given.
3. Business use
3.1 The Service is intended exclusively for parties acting in the course of a trade, business or profession. The Customer declares that it acts as such. RecordFlower does not address consumers and does not supply consumers.
3.2 A Customer established in the Netherlands provides, on registration, the number under which the business is entered in the Dutch Chamber of Commerce (KvK) register. No account is activated without that number. This follows in part from the requirements the payment service provider imposes on Dutch accounts. A Customer established outside the Netherlands declares that it acts in a business capacity and provides, on request, a VAT identification number or a comparable registration number from its country of establishment.
3.3 Through the Service the Customer sells to its own buyers, in its own name and for its own account. RecordFlower is not a party to those purchase agreements, sells nothing, does not act as an intermediary and receives no purchase price.
3.4 The Customer is responsible for complying with all rules attaching to the sale, including consumer law, the right of withdrawal, information duties, product safety, VAT and other taxes. Section 22 additionally applies to the VAT calculation within the Service.
4. Formation, account and trial period
4.1 The agreement is concluded at the moment the Customer creates an account and chooses a plan, or at the moment the parties sign a service agreement.
4.2 RecordFlower may offer a trial period. Its duration, and whether a payment method is required for it, are stated with the plan the Customer chooses on the website. The trial period ends by operation of law. If the Customer does not choose a paid plan within that period, the account is closed and the data is deleted in accordance with section 13.
4.3 During the trial period the Service is delivered as it stands at that moment. The availability standard in section 10 does not apply then.
4.4 The Customer provides accurate and complete information and keeps it current. The Customer is responsible for the use of the account, for its own credentials, and for the acts of persons to whom the Customer grants access.
4.5 RecordFlower may refuse an application or an account, without stating reasons and without incurring any liability for doing so.
5. The Service
5.1 For the term of the agreement RecordFlower grants the Customer a non-exclusive, non-transferable right to use the Service. The contents of the plan, the add-ons and the limits belonging to them are stated on the website and in the dashboard.
5.2 The Service is delivered as it is available at the moment of use. RecordFlower does not warrant that the Service is fit for a purpose the Customer has in mind that has not been agreed in writing, nor that the Service operates uninterrupted or error-free.
5.3 To the extent the Customer connects the Service to a Sales channel: that Sales channel is the source of the inventory carried there. Synchronisation operates with the delays inherent in working across multiple channels. That an item is sold on multiple channels within that window is not a failure on the part of RecordFlower. Stock the Customer carries in RecordFlower's own catalogue does not bear this risk and falls outside this provision.
5.4 The payment service provider and every Sales channel the Customer connects are third parties with whom the Customer holds its own relationship in its own name. RecordFlower has no influence over their policies, rates, availability, verification or decisions, is not liable for them, and is not liable for the consequences of their services or terms ceasing, being restricted or being changed, including lost revenue and the cost of an alternative. See also sections 20 and 21.
5.5 Buyers' payments go directly to the Customer's own account with the payment service provider. The money does not pass through RecordFlower. RecordFlower charges no commission and no mark-up on the transaction costs. Chargebacks, reversals and the fees belonging to them are settled by the payment service provider directly with the Customer; RecordFlower has no influence over the outcome. Section 21 elaborates on this and prevails over this section.
5.6 Support is provided through the ticket system and through WhatsApp, on working days from 09:00 to 17:00. Reports are registered through support@recordflower.com. What arrives through WhatsApp and requires follow-up is turned into a ticket by RecordFlower itself. See section 10.
5.7 The exchange of data between the Service and a connected Sales channel is not limited and is not charged separately. RecordFlower determines the technical arrangement of that exchange and may adjust its frequency. RecordFlower's own catalogue is maintained by the platform itself; no synchronisation to be started by the Customer applies to it.
5.8 RecordFlower supplies the sales channel and not the audience. RecordFlower makes no commitment as to visitor numbers, findability, search engine positions, conversion or revenue, and gives no obligation of result in that respect. Promoting the webshop rests with the Customer. Functionality supporting findability is delivered to the extent that it belongs to the chosen plan or to an add-on taken.
6. Obligations of the Customer
6.1 The Customer complies with the terms of the payment service provider and, to the extent the Customer connects a Sales channel, with the terms of that Sales channel, and uses the Service in accordance with the law and with these Terms. Section 20 elaborates what that means for a connected Sales channel.
6.2 The Customer warrants the accuracy of item data, prices, conditions, shipping costs and delivery times, and handles buyers' orders, returns and complaints itself.
6.3 The Customer holds the rights to everything it posts or supplies, including texts, photographs, logos, trade names or audio fragments, or uses them with the permission of the rights holder. For audio fragments the Customer confirms this actively per upload in the dashboard; without that confirmation the fragment is not published.
6.4 The following are not permitted: offering items whose sale is prohibited or which infringe the rights of third parties; overloading the Service by automated means; circumventing limits, intervals or security measures; reselling, subletting or otherwise making the Service available to third parties; granting access to third parties outside the Customer's own organisation; and using the Service for purposes other than the Customer's own sales.
6.5 The Customer reports a suspicion of account misuse or a security problem to RecordFlower without delay.
6.6 The Customer supplies in good time what RecordFlower needs in order to deliver, including, where applicable, authorisation on a connected Sales channel, a verified account with the payment service provider, access to the DNS settings, and the Customer's own content, including its own catalogue data, photographs and inventory information. Where that does not happen, the associated deadlines move by the length of that delay.
6.7 Where the Customer engages a third-party service alongside the webshop, such as an analytics package or a marketing tool, the Customer is the data controller for it and provides the required legal basis, the consent of visitors and the mention in its own privacy policy. That also applies where RecordFlower establishes the connection at the Customer's request.
6.8 Where RecordFlower receives a substantiated report that content posted by the Customer infringes the rights of third parties, RecordFlower may make that content inaccessible and informs the Customer, enclosing the report. The Customer may substantiate that the use is lawful. RecordFlower does not judge the substance of the dispute between the Customer and the reporting party. On repeated well-founded reports RecordFlower may switch off the functionality concerned for the Customer; that is a restriction of the Service and not a termination. Section 32 sets out the reporting procedure.
6.9 The Customer is additionally responsible for: setting up and honouring a cookie notice and consent management on its own webshop; the content of notices the Customer shows buyers itself, including the messages a buyer must accept at checkout; the personal data of buyers who leave an account, a wantlist or a contact message with the webshop; managing its own settings, including the tax regime, the shipping methods and rates, the discounts and the redirects; checking the data passed to a carrier; checking the invoices and credit notes the Service produces in the Customer's name; and checking the result of an import from another shop or from a file, an import tool provided by RecordFlower being an aid and not a guarantee of a correct outcome.
7. Prices, invoicing and payment
7.1 The rates are stated on the website and in the dashboard. All amounts are exclusive of VAT, unless expressly stated otherwise.
7.2 The subscription and the add-ons are invoiced in advance, per calendar month or per year, depending on the term chosen. Where the start falls during a month, the first period is calculated pro rata. One-off costs are invoiced in advance on instruction.
7.3 Components charged by use are invoiced in arrears at the rate stated on the website. That happens in two ways. Where the plan includes an allowance for a component, only usage above it is charged. Where the plan includes no allowance, usage is charged from the first unit; translation by artificial intelligence under section 30 works this way. Where no rate is stated on the website for a component, nothing is charged for it. No limit and no rate applies to synchronisations; see section 5.7.
7.4 The payment term is fourteen days after the invoice date, unless payment is made by direct debit or card; in that case collection takes place on or after the invoice date.
7.5 Set-off and suspension by the Customer are not permitted. Revenue, transaction costs and chargebacks run through the Customer's own account with the payment service provider and are never set off against the subscription.
7.6 Where the payment term is exceeded, a reminder follows with a term of seven days. If payment does not follow, the Customer is in default by operation of law, statutory commercial interest under Article 6:119a of the Dutch Civil Code is due, and the extrajudicial collection costs under the Dutch Extrajudicial Collection Costs (Standardisation) Act are for the account of the Customer.
7.7 On default RecordFlower may suspend the Service after at least fourteen days notice. Suspension affects the webshop and not the data: the dashboard remains reachable and an export function included in the plan keeps working. Reactivation is charged at the hourly rate, with a minimum of one hour.
7.8 The Customer reports an objection to an invoice within fourteen days of the invoice date, in writing and with reasons. After that the invoice counts as accepted. An objection does not suspend the payment obligation.
7.9 Work outside the subscription is performed on a time-and-materials basis at the hourly rate stated on the website or in the agreement, following an estimate of hours given in advance and the agreement of the Customer. An estimate of hours is an indication and not a fixed price; an overrun is reported before the hours concerned are spent. Prepaid hour bundles are not used.
7.10 For determining usage and measured availability, the records of RecordFlower's own administration constitute full evidence, save for evidence to the contrary from the Customer.
8. Price changes
8.1 RecordFlower adjusts the rates once a year by at most the consumer price index for all households published by Statistics Netherlands over the preceding calendar year, increased by three percentage points. This adjustment gives no right of termination.
8.2 An adjustment is announced in writing at least two months in advance, enclosing the calculation.
8.3 An increase above the maximum in section 8.1 is likewise announced at least two months in advance. The Customer may in that case terminate the agreement with effect from the date the increase takes effect, without a minimum term standing in the way.
8.4 Where the Customer's usage increases substantially, including the number of listings, the visitor numbers or the processing load, RecordFlower may adjust the corresponding capacity and the corresponding rate. On the same ground RecordFlower may adjust the frequency of the data exchange in section 5.7. This is agreed in advance and stands apart from indexation. Where usage is scaled back, the same applies in the other direction.
9. Term and termination
9.1 A monthly subscription runs per calendar month and may be terminated on one month notice, with effect from the end of a calendar month.
9.2 An annual subscription runs for twelve months and is renewed tacitly for twelve months at a time, unless the Customer terminates at the latest one month before the end of the current term. A prepaid annual amount is not refunded on interim termination.
9.3 Where a minimum term has been agreed, on termination within that period the remaining instalments remain due and are invoiced at once. That does not apply where the termination follows from a right these Terms or the agreement expressly grant.
9.4 Termination takes place in writing or through the dashboard.
9.5 RecordFlower may terminate the agreement on three months notice. Nothing about the Service changes within that period.
9.6 Add-ons may be terminated separately, on the same notice as the subscription.
10. Availability and support
10.1 RecordFlower aims for availability of at least 99.9% per calendar month. This is an obligation of means and not an obligation of result.
10.2 The following fall outside that standard: announced planned maintenance; failures at a connected Sales channel, at the payment service provider, at the hosting party or at another third party; force majeure; and downtime arising from acts of the Customer or from connections made with third parties at the request of the Customer.
10.3 Maintenance for which the Service is briefly unreachable is announced in advance and planned outside busy hours. Maintenance causing no interruption is not announced. Maintenance that cannot be postponed, including closing a security vulnerability, may be carried out without notice.
10.4 Reports go to support@recordflower.com and are registered automatically as a ticket with a number and a timestamp. RecordFlower is also reachable through WhatsApp. Both channels are available on working days from 09:00 to 17:00; that is the window in which reports are picked up. What arrives through WhatsApp and requires follow-up is turned into a ticket by RecordFlower itself and confirmed by email. Telephone support does not form part of the Service.
10.5 RecordFlower acknowledges every report and states what is established and what action is taken, and sets the priority on the basis of the report. No fixed response or resolution times apply, unless they have been recorded in a separately signed agreement.
10.6 There is no claim to credit or other compensation for downtime or for the handling time of a report, unless the parties have agreed otherwise separately and in writing. Where such an arrangement has been agreed, it is the sole and exclusive remedy.
10.7 The Customer reports a defect within fourteen days of discovery, in writing and with a description that enables RecordFlower to reproduce it. RecordFlower uses its best efforts to correct errors within a reasonable period, may apply temporary fixes in doing so, and may defer a correction to a subsequent version of the software.
11. Changes to the Service and to these Terms
11.1 RecordFlower continues to develop the Service and may add, change, replace or discontinue functionality. Improvements, bug fixes and updates become available at no extra cost.
11.2 Where a change materially disadvantages the Customer, RecordFlower announces it at least thirty days in advance and the Customer may terminate the agreement with effect from the date the change takes effect, without a minimum term standing in the way.
11.3 New functionality may be offered as an add-on at a monthly rate, or placed in another plan. The Customer decides whether to make use of it.
11.4 Everything RecordFlower builds at a customer's request is a platform feature. RecordFlower is free to offer that functionality to other customers, including where the commissioning customer paid the development costs. No exclusivity applies, unless the parties agree it separately and in writing against a separate fee. In return, the Customer pays only for the hours spent, and failures, repair and maintenance of what was built remain within the monthly amount.
11.5 RecordFlower may amend these Terms. An amendment is announced at least thirty days in advance, both by email to the address recorded with the account and as a notice in the dashboard, and applies thereafter. Where the amendment materially disadvantages the Customer, the Customer may terminate with effect from the date it takes effect. Amendments following from changed legislation or a decision of a supervisory authority take effect without a right of termination.
11.6 On a material amendment the dashboard asks the Customer to accept the amended Terms explicitly. RecordFlower records which version was accepted, at what moment and from which IP address. RecordFlower is itself the data controller for that record; the Privacy Policy describes it. Where the Customer does not accept, the Customer keeps full access to the dashboard and to the webshop; RecordFlower asks for the reason and puts the question again once a day. Continued use of the Service does not count as acceptance in that case. Where the Customer has not accepted the amended Terms sixty days after they take effect, RecordFlower may terminate the agreement under section 9.5; until that termination the version the Customer last accepted continues to apply between the parties.
11.7 Amendments that are not material, such as a corrected spelling, a clarification or an amended contact address, take effect without acceptance. RecordFlower does raise the version number for them but does not ask for acceptance again.
12. Intellectual property
12.1 All rights to the Service, the software, the source code, the repository, the architecture, the documentation and the design of the platform vest in RecordFlower or in its licensors and remain vested there in all circumstances. The Customer obtains only the right of use in section 5.1.
12.2 Custom work is built inside the platform and on RecordFlower's codebase. No right arises to delivery, inspection or transfer of source code, and no separate work that functions outside RecordFlower's environment. Source code escrow is not part of the standard Service; on request RecordFlower cooperates with an escrow arrangement held by an independent third party, the costs of which are for the account of the Customer.
12.3 The Customer may not decompile, reverse engineer, copy or rebuild the Service, subject to the mandatory statutory exceptions.
12.4 The Customer's content remains the Customer's. The Customer grants RecordFlower the right to use that content to the extent necessary to deliver the Service.
12.5 The data from which RecordFlower compiles the catalogue comes from several sources: publicly available datasets published free of rights, including those of Discogs and MusicBrainz, the Cover Art Archive, and data obtained through a Sales channel to which the Customer connects the Service. This data belongs neither to RecordFlower nor to the Customer. The licence or usage terms of the source concerned apply to its use. The Customer does not reproduce, supply or reuse that data outside its own webshop, unless the applicable terms expressly permit it. To the extent the Customer retrieves data directly through a connected Sales channel, section 20 applies in addition.
12.6 Where the Customer makes a suggestion, an improvement proposal or a feature request, RecordFlower may use it freely and without compensation and incorporate it into the Service.
12.7 RecordFlower names the Customer's trade name or logo as a reference only after the Customer has given written permission on each occasion, and puts to the Customer in advance where the mention will appear and in what form. Revenue, margins, customer data and other non-public business information never fall under it. The Customer may withdraw a permission given in writing, after which the mention is removed within thirty days.
12.8 The Customer grants RecordFlower a non-exclusive, royalty-free, worldwide licence to use, store and include the images the Customer uploads, including cover photos and condition photos, in the shared central catalogue and image pool of the platform, and to display those images with the item concerned, including in the webshops of other customers on the platform. This licence applies only to images the Customer uploads itself and holds the rights to.
12.9 The Customer warrants that it is entitled to upload the images it uploads and to grant the licence in section 12.8, and that doing so does not infringe the rights of third parties. The Customer indemnifies RecordFlower against third-party claims relating thereto.
13. Data, privacy and export
13.1 The Customer is the data controller and RecordFlower is the processor for the personal data processed through the Service. The data processing agreement forms part of the agreement and prevails over these Terms where the processing of personal data is concerned.
13.2 Hosting, storage and backups take place in the Netherlands. Transfer outside the European Economic Area takes place only on a valid legal basis and only to the sub-processors named in the data processing agreement. That list includes the parties engaged for translating texts, optimising images, determining a country from an IP address, and supplying product data to search engines.
13.3 At the end of the agreement RecordFlower delivers, on written request and once, a full handover of the Customer's data in a common, machine-readable format, within ten working days of the termination date. This handover is free of charge.
13.4 Where the Customer's plan includes an export function in the dashboard, the Customer may in addition obtain a full export at any moment independently, without the involvement of RecordFlower and at no cost, including on the last day of the agreement. The export also covers the Customer's own catalogue, to the extent the Customer takes it. The archive contains names, addresses and email addresses of buyers; RecordFlower keeps the file for seven days and then deletes it. From the moment of download the Customer is itself responsible for its retention and its security.
13.5 After the agreement ends the dashboard remains reachable, so that the Customer can check the handover and download an export. RecordFlower then retains the data for at most sixty days; before removal the Customer receives an announcement by email. The user account remains accessible throughout this retention period; after the removal the user account continues to exist, but the shop is no longer linked to it. After removal RecordFlower keeps an encrypted backup copy for at most 31 days; personal data in other backups disappears through the expiry of the 31-day retention period. The authorisation on a connected Sales channel is withdrawn and deleted immediately on disconnection or at the end of the agreement.
13.6 RecordFlower delivers a database dump with a field description on written request, at the hourly rate with a minimum of two hours. The same applies to assistance with a switch to another provider or to delivery in a different format. RecordFlower may refuse such a request or attach conditions to it, for instance where the handover under article 13.3 or the export function under article 13.4 already meets the need; a refusal will be reasoned.
13.7 RecordFlower uses fully anonymised and aggregated data about the use and performance of the platform in order to operate, secure and improve the Service. That data cannot be traced back to the Customer, to a buyer or to an individual transaction.
13.8 RecordFlower does not use personal data or customer-specific content to train or improve models deployed with other customers, unless the Customer agrees to it in writing in the individual case. That also applies to the language model provider RecordFlower engages for translation.
13.9 RecordFlower announces a new or replacement sub-processor at least thirty days in advance, by email or as a notice in the dashboard. The Customer may object on data protection grounds within that period. If the parties cannot resolve it, the Customer may terminate the service concerned with effect from the date the change takes effect, without a minimum term standing in the way.
14. Confidentiality
14.1 The parties treat all non-public information they receive from each other as confidential. On the Customer's side that includes at least business data, revenue, margins, purchase prices, supplier relationships, customer data, order data and plans. On RecordFlower's side that includes at least the architecture, the working methods, the rates, the security findings and the non-public documentation.
14.2 The obligation applies during the agreement and for three years afterwards, and does not apply to information that is or becomes public without a breach of this provision, or whose disclosure the law requires. In addition, the data processing agreement continues to apply to personal data, without a time limit.
15. Liability
15.1 The liability of RecordFlower for damage is excluded.
15.2 To the extent that reliance on that exclusion does not hold in an individual case, the liability of RecordFlower is limited to the amount the Customer actually paid in subscription fees and usage-based charges in the twelve months before the event causing the damage, exclusive of VAT. All events together never yield more than that amount per contract year.
15.3 In no event does RecordFlower compensate consequential loss, lost revenue, lost profit, lost savings, reputational damage, damage through business interruption, damage through loss of data to the extent restoration from backup is possible, third-party losses recovered from the Customer, and damage caused by third parties.
15.4 Liability arises only after the Customer has given RecordFlower written notice of default and a reasonable cure period of at least thirty days, unless performance is permanently impossible.
15.5 A claim lapses if it has not been reported to RecordFlower in writing and with reasons within twelve months of arising.
15.6 The following are neither excluded nor limited: intent and deliberate recklessness on the part of RecordFlower, and liability under Article 82 GDPR. Moreover, a limitation between the parties does not operate against data subjects and supervisory authorities; they stand outside these Terms.
15.7 On loss of data through an error of RecordFlower, RecordFlower restores free of charge and with priority, up to and including the last available restore point.
15.8 The exclusions and limitations in this section also apply for the benefit of the persons and parties RecordFlower engages in performing the agreement.
16. Indemnity
The Customer indemnifies RecordFlower against claims by third parties, including buyers, rights holders, a Sales channel, the payment service provider, the tax authorities and supervisory authorities, connected with the items the Customer offers, the content the Customer posts or supplies, compliance with the obligations in sections 03, 06 and 13, or use of the Service contrary to these Terms. The indemnity covers the reasonable costs of defence.
The indemnity expressly extends to claims about audio fragments and other content the Customer uploads or has uploaded, and to claims arising from a third-party service engaged by the Customer as referred to in section 6.7. That RecordFlower acts under section 6.8 leaves the indemnity unaffected and constitutes no admission.
The indemnity likewise extends to claims as referred to in section 20.6 and to claims arising from data supplied by the Customer as referred to in section 22.
17. Force majeure
17.1 Force majeure is a circumstance beyond the will of a party that makes performance temporarily or permanently impossible and that cannot be attributed to that party. It includes in any event: natural disasters and extreme weather, fire, war and terror, a pandemic, government measures, prolonged failure of energy or telecommunications, a targeted external attack on the infrastructure, cybercrime and digital vandalism including ransomware, failure or default of a supplier or hosting party, and failures or policy changes at a connected Sales channel, at the payment service provider or at the email service.
17.2 The obligations affected by the force majeure are suspended for as long as it lasts. The affected party reports this without delay and keeps the other informed. Both parties limit the consequences as far as reasonably possible.
17.3 During force majeure neither party has a right to compensation. The availability standard does not apply for the duration of the force majeure. The part of the Service that is delivered remains payable.
17.4 Where the force majeure lasts longer than sixty consecutive days, either party may terminate the agreement with immediate effect, without liability for damages and without a minimum term standing in the way.
17.5 The obligations under the data processing agreement, including the duty to report a personal data breach, remain in force during force majeure.
18. Suspension and termination by RecordFlower
When RecordFlower may intervene, and what RecordFlower may then do.
Non-payment — Suspension under section 7.7. If payment then remains outstanding for fourteen days, RecordFlower may rescind the agreement on seven days written notice.
Other breach — Written notice of default with a cure period of at least fourteen days. If the breach is not cured, RecordFlower may rescind.
Use that endangers the Service or access to third parties — Immediate suspension, with immediate notice and a statement of reasons. If the situation is not remedied within fourteen days, RecordFlower may rescind. This applies among other things to acting contrary to section 06, and to a threat to the security, the operation of the platform or the service to other customers.
Suspension or termination by a Sales channel — Immediate suspension of the functions dependent on that Sales channel under section 20.3. If the suspension lasts longer than thirty days, RecordFlower may terminate the agreement.
A paid order that is not fulfilled — Suspension of the webshop under section 21.6, after the period referred to there has passed unused.
Bankruptcy or suspension of payments — Immediate termination on bankruptcy, suspension of payments or the winding up of the Customer's business, or where a substantial part of the Customer's assets is attached.
In all cases — The arrangement in section 13 continues to apply and the environment remains reachable for fourteen days. Suspension affects the Service and not the data. Rescission or termination by RecordFlower does not release the Customer from payment for what has been delivered up to that moment; amounts prepaid for a period in which nothing was delivered are refunded pro rata by RecordFlower.
19. Final provisions
19.1 RecordFlower may transfer the rights and obligations under the agreement to a successor by universal or particular title, including on a conversion of legal form or an acquisition of the business. The Customer may not do so without RecordFlower's written consent. RecordFlower may transfer or pledge its claims against the Customer to a third party.
19.2 RecordFlower may engage third parties in performing the agreement. For the processing of personal data the procedure in the data processing agreement applies.
19.3 Where a provision is void or voidable, the remaining provisions remain in force and the parties replace that provision with a valid one of as nearly as possible the same purport. Where RecordFlower does not invoke a provision at any given moment, it does not thereby lose the right to do so later.
19.4 Provisions intended by their nature to continue after the end remain in force. That includes in any event sections 12, 13, 14, 15 and 16, sections 20.5, 20.6, 21 and 22, and sections 27, 28 and 32.
19.5 Where the Customer consists of more than one natural or legal person, each of them is jointly and severally liable for performance of the obligations under the agreement.
19.6 Notices count as written where they are sent by email to the address recorded with the account, or where they are posted as a notice in the dashboard. The Customer keeps that email address current.
19.7 Dutch law applies to the agreement. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. The parties consult first; if that does not lead to a solution within thirty days, the District Court of Overijssel, Almelo location, has exclusive jurisdiction.
19.8 These Terms were drawn up in Dutch. Where a translation differs, the Dutch text prevails on the interpretation. These Terms replace all earlier versions. They are available at recordflower.com/terms-of-service and are sent free of charge on request.
20. Sales channels
This section applies to the extent the Customer connects the Service to a Sales channel. A Customer running the webshop solely on its own catalogue is not bound by this section. Where the Customer has a separately signed agreement governing the connection with a specific Sales channel, that agreement prevails over this section to the extent it governs the same subject (section 2.3).
20.1 The Service can be connected to a Sales channel. The Customer authorises that connection itself, remains the account holder with the Sales channel, and remains the party bound by the own terms of that Sales channel for all use taking place through the Service.
20.2 The Customer warrants that it holds a valid and active account in good standing with the Sales channel, that it has accepted and continues to comply with the terms and policies of that Sales channel, and that its use of the Service does not cause the Customer or RecordFlower to breach those policies.
20.3 Where a Sales channel suspends, restricts or terminates the Customer's account or access, for any reason, RecordFlower may suspend the parts of the Service dependent on it with immediate effect. That suspension is not a breach by RecordFlower and gives no right to a refund, credit or damages.
20.4 In a connection RecordFlower acts as a technical agent exchanging data with the Sales channel on the Customer's behalf, and does not provide that data to third parties other than as needed to display the Customer's webshop or to deliver a feature the Customer has switched on itself.
20.5 RecordFlower is an independent software supplier and is not affiliated with, sponsored by, endorsed by or otherwise officially connected to any Sales channel, unless expressly stated otherwise. The names and trademarks of a Sales channel, including "Discogs", a trademark of Zink Media, LLC, are the property of the party concerned.
20.6 The Customer indemnifies RecordFlower against every claim, demand, fine, loss and cost, including the reasonable costs of defence, arising from a breach by the Customer of the terms or policies of a Sales channel, from a claim by a Sales channel against RecordFlower connected with the Customer's use of the Service, or from improper use of data obtained through the Customer's account with a Sales channel. This indemnity applies alongside section 16 and survives the end of the agreement.
21. Buyers' payments, disputes and chargebacks
21.1 Buyers' payments are processed into the Customer's own account with the payment service provider. The amount lands directly in the Customer's balance and at no point passes through an account held by RecordFlower. The Customer is the merchant of record: the Customer's business name appears on the buyer's statement and the country of establishment determines which rates of the payment service provider apply. The payment service provider charges its processing costs directly to the Customer. RecordFlower holds no balance for the Customer, receives no share of the sale proceeds and charges nothing per order.
21.2 The timing and frequency of payouts follow from the payout schedule of the Customer's own account and from the agreement between the Customer and the payment service provider. RecordFlower sets no payout term and cannot accelerate, delay or withhold a payout.
21.3 The Customer fulfils every order it accepts itself: shipping, handling returns, and refunding where the buyer is entitled to it under applicable law or under the Customer's own shop terms. A refund is debited from the Customer's own balance; the processing costs of the payment service provider are not returned with it. RecordFlower is not a party to the purchase agreement between the Customer and the buyer.
21.4 Where a buyer disputes a payment, the payment service provider charges the disputed amount and the associated dispute fee to the Customer's own account. The Customer conducts the defence itself and submits the evidence within the deadline set by the payment service provider or the card scheme. RecordFlower does not bear those costs and consequently has nothing to recover from the Customer. RecordFlower marks the order as disputed in the dashboard and, on request, helps the Customer assemble evidence.
21.5 A negative balance on the Customer's account with the payment service provider is, whatever its cause, a matter between the Customer and that payment service provider. The payment relationship is governed by the agreement the Customer entered into when creating that account. RecordFlower is a technical service provider and not a payment service provider, and performs no payment services within the meaning of the Dutch Financial Supervision Act.
21.6 Where a buyer reports that an order has been paid but not shipped, RecordFlower may contact the Customer and set a reasonable period to either ship the order or refund the buyer. If the Customer does neither within that period, RecordFlower may suspend the webshop under section 18. RecordFlower does not judge the substance of the dispute between the Customer and the buyer and is not a party to it.
21.7 Which payment methods a buyer sees at checkout follows from the configuration of the Customer's own account with the payment service provider. The Customer switches a method on or off there itself. Whether a method is available depends on the payment service provider, on the Customer's country of establishment and on the approval the payment service provider gives for it. RecordFlower has no influence over this, promises no payment method, and a method depicted in RecordFlower's materials is an example and not a commitment.
21.8 This section survives the end of the agreement to the extent it concerns payments processed during the term.
21.9 Where a purchase is completed through a connected Sales channel rather than through the Customer's own webshop, the buyer's payment does not pass through the Customer's payment service provider but through that Sales channel, under the payment and processing terms that Sales channel sets for it. Sections 21.1 through 21.8 do not apply in that case; section 20 instead governs the relationship between the Customer, RecordFlower and the Sales channel for this function.
22. VAT calculation
22.1 For a Customer established in the European Union, the Service calculates the VAT on sales through the webshop. That calculation is based on the data the Customer itself provides: the tax regime, the registrations and the answers to the questions about the business. The rates are taken from the public database of the European Commission.
22.2 The Customer is responsible for the accuracy and currency of that data and adjusts it as soon as the situation changes.
22.3 RecordFlower does not monitor whether the Customer exceeds the turnover threshold for cross-border sales within the European Union, checks VAT identification numbers only for their format and not for their existence or validity, and does not apply the reverse charge to business buyers.
22.4 Where the VAT due cannot be determined, the order is not completed. That prevents an incorrect amount from being collected.
22.5 The rates and territorial rules on which the calculation relies are taken from external sources. RecordFlower does not warrant that those sources are complete and current at every moment. Where a source is temporarily unreachable, the most recently known data is used.
22.6 The calculation may contain errors. RecordFlower makes every effort to prevent and correct them but accepts no liability for their consequences, save in the case of intent or deliberate recklessness and save as provided in section 15. The Customer remains obliged to check its own invoices.
22.7 The declaration and remittance of VAT remain the responsibility of the Customer, as provided in section 3.4. RecordFlower is not a tax adviser and accepts no liability for the fiscal consequences of incorrect or outdated data supplied by the Customer.
23. Version control
The version number and the date of these Terms appear at the top of this document, together with the version they replace and a description of what was changed. The numbering of sections 01 through 23 remains unchanged, so that references in current agreements keep working. New subjects are added from section 24 onwards.
24. Maintenance and backups
24.1 RecordFlower may take the Service out of use in whole or in part for maintenance, changes and security updates, subject to section 10.3.
24.2 RecordFlower makes a daily backup of files and database to a second location in the Netherlands. The retention period is 31 days. Backups serve recovery after an incident and are not an archiving service for the Customer. RecordFlower does not warrant that an individually deleted item, an erased setting or an overwritten text can be restored from a backup. If the Customer wants its own copy, it uses the export in section 13. This paragraph applies without prejudice to section 15.7: where data is lost through an error of RecordFlower, RecordFlower restores it free of charge and with priority.
24.3 Additional provisions such as redundancy, a second environment or a guaranteed recovery time form part of the agreement only where expressly agreed in writing.
25. Fair use
25.1 The Service is provided for normal use by a single webshop. The storage, the data traffic and the number of emails the Service sends on the Customer's behalf fall within the limits published with the plan. Allowance included per period that is not used lapses at the end of that period and does not carry over.
25.2 Where the Customer's use loads the platform to the point that other customers are affected, RecordFlower makes contact first. If the parties cannot resolve it together, RecordFlower may cap usage, slow the tasks concerned, or propose a suitable plan under section 8.4. Immediate restriction is permitted only where the stability or security of the platform is acutely at risk.
25.3 The Service may not be used to send unsolicited messages, or to query or scrape the platform in an automated manner outside the functions intended for that purpose. Section 6.4 continues to apply in full alongside this.
26. Shipping labels and carriers
26.1 The Service can create shipping labels and track shipments with carriers with whom the Customer holds its own contract. The Customer enters its own credentials for that. RecordFlower concludes no contract of carriage and is not a party to the agreement between the Customer and the carrier.
26.2 Only the terms and rates of the carrier apply to the carriage. The carrier invoices the Customer directly. RecordFlower receives no share of the carriage costs and charges nothing per label.
26.3 RecordFlower transmits the data entered by the Customer and the buyer. The Customer checks every label before it is used. RecordFlower accepts no liability for a shipment that is lost, damaged or delivered late, for an incorrect address, for a refused or withdrawn pickup point, or for costs a carrier charges afterwards because weight, dimensions or shipment type differed from what was declared. The status information the Service displays comes from the carrier; RecordFlower does not warrant that it is accurate or current.
26.4 Where the carrier withdraws the Customer's access or changes its interface, RecordFlower may suspend the labelling function. That is not a breach by RecordFlower.
27. Invoices and credit notes for buyers
27.1 The Service produces the sales invoice and, where applicable, the credit note the buyer receives. Those documents are issued in the Customer's name, with the Customer's business details, number sequence and tax regime. The Customer is the issuer of those documents and remains responsible for them towards the buyer and towards the tax authorities.
27.2 RecordFlower assigns the numbers consecutively. Where the Customer changes its business details or tax regime, that carries through to documents produced afterwards and does not apply retroactively to documents already sent.
27.3 The Customer checks the first documents the Service produces and thereafter on a sample basis, and reports an error as soon as possible. RecordFlower corrects errors in the software but accepts no liability for the fiscal or administrative consequences of an incorrect document, save in the case of intent or deliberate recklessness and save as provided in section 15. Retaining its own records for the statutory period is the responsibility of the Customer.
28. Withdrawal by buyers
28.1 The Service can offer the Customer's buyers a withdrawal function allowing a consumer to withdraw from a distance contract within the statutory cooling-off period. RecordFlower records that declaration and confirms receipt to the buyer on the Customer's behalf on a durable medium.
28.2 On a withdrawal RecordFlower records who made the declaration, at what moment, and which order it concerns, together with the IP address from which the declaration was sent. That record serves as evidence that and when the declaration reached the Customer. An IP address is personal data; RecordFlower processes it solely for this purpose and on the Customer's instruction, and retains it no longer than necessary for that purpose and for the statutory retention period applying to the Customer's records. The Customer is the data controller for this processing.
28.3 Handling the withdrawal remains the responsibility of the Customer. That covers assessing whether the cooling-off period applies and is still running, refunding the purchase amount and the delivery costs within the statutory period, and the arrangements for the return shipment. RecordFlower supplies the button and the record, is not a party to the purchase agreement and gives no legal advice on it. Which exceptions to the statutory cooling-off period apply to the Customer's offering is for the Customer to assess.
29. Custom domain and security certificate
29.1 Where the plan includes a custom domain, the Customer connects a domain name it has registered itself to the webshop. The domain name remains the Customer's. RecordFlower does not register, renew or administer the domain name and does not act as registrar.
29.2 The Customer sets the DNS records specified by RecordFlower with its own provider. RecordFlower requests a security certificate once those records are set correctly and renews it automatically, with an external certificate authority. RecordFlower accepts no liability for delay or downtime resulting from incorrect DNS settings, from the domain provider or from the certificate authority.
29.3 Where the domain name lapses, where the Customer changes the DNS records, or where the plan containing this feature ends, the webshop is no longer reachable at that domain name. The webshop then remains reachable at the recordflower.com address belonging to the account.
30. Artificial intelligence
30.1 The Service can translate texts for the webshop using artificial intelligence. This feature is optional. The Customer starts a translation itself and sees an estimate of the cost beforehand; actual usage is charged under section 7.3.
30.2 Output produced by artificial intelligence is not always accurate, complete or consistent, and the same text may produce a different result on a subsequent attempt. RecordFlower does not warrant the accuracy of a translation, nor its suitability for a legal, fiscal or medical communication. The Customer reviews every translation before it is published; publication without checking is at the Customer's own risk.
30.3 For translation the submitted text is processed by an external language model provider, named in the data processing agreement. Only the text the Customer submits for translation is sent. Section 13.8 applies to the use of that text for training models. The Customer does not submit personal data or confidential data for translation where it is not intended for that purpose.
30.4 The Customer ensures an adequate level of artificial intelligence literacy among the persons who use this feature on the Customer's behalf, as the European Artificial Intelligence Act requires.
31. Findability, product feeds and redirects
31.1 The Service can produce a sitemap, supply a product feed to a search engine or comparison service, and redirect old addresses from a previous webshop to a page in the new one. When these features are used, the Customer's product data is passed to the search engine or comparison service concerned.
31.2 RecordFlower supplies the technical tool. Whether a search engine includes the pages, at what position they appear and whether a feed is approved is determined by that search engine. Section 5.8 applies in full.
31.3 The Customer determines the content of the feed and the destination of a redirect. An automatically suggested match between an old and a new address is an aid the Customer checks. An old address for which the Customer chooses no destination continues to return an error.
32. Reports of unlawful content, and complaints
32.1 RecordFlower hosts customers' webshops and does not determine their content. Where someone believes that the content of a webshop on the platform is unlawful or infringes a right, they may report this to the address in section 34. A report contains at least: a sufficiently substantiated explanation of the reasons why the content is unlawful; the exact electronic address at which the content can be found; the name and email address of the reporting party, except where the report concerns child sexual abuse or related offences; and a statement that the reporting party believes in good faith that the report is accurate and complete.
32.2 RecordFlower handles a sufficiently substantiated report within a reasonable period and may make the content concerned inaccessible, suspend the webshop, or pass the report to the Customer, subject to section 6.8. RecordFlower informs the Customer of any measure taken, unless the law prevents it. That notice states the reasons for the measure, and the Customer may object to it within six months at the address in section 34.
32.3 Where the Customer has a complaint about the Service or about a measure taken by RecordFlower, the Customer raises it with RecordFlower first. RecordFlower acknowledges receipt and responds on the substance within a reasonable period. If the parties cannot resolve the matter, the route in section 19.7 remains open. RecordFlower is not obliged to handle reports that are manifestly unfounded or that are made repeatedly.
33. Security and access credentials
33.1 RecordFlower secures the Service at a level that is not unreasonable given the state of the art, the cost of implementation and the nature of the data processed. RecordFlower does not warrant that this security is effective in all circumstances.
33.2 Access credentials issued by RecordFlower, including passwords, two-factor codes and recovery codes, are confidential. Where the account holds more than one user, the Customer manages who has access and withdraws a departing colleague's access without delay. RecordFlower is not liable for damage caused by misuse of access credentials, unless that misuse is the direct result of intent or deliberate recklessness on the part of RecordFlower.

35. AI product listings
35.1 The Service can have a photo of an item analysed automatically to suggest product data: recognition of the release, an estimate of the condition, and a price suggestion based on market data. The result can be published as an own item in the Customer's catalogue or, to the extent the Customer connects a Sales channel, as a listing on that Sales channel. This feature is optional.
35.2 Every analysis the Service performs is charged as a per-use fee at the rate published on the website; section 7.3 applies to it. That fee is due even where the analysis does not lead to a matching release on a Sales channel or where the item is not published.
35.3 The results of this feature — the recognition of the release, the pressing match, the condition estimate and the price suggestion — are automated estimates. They may contain errors, including a misidentified record, an incorrect pressing, an inaccurate condition, or a price that differs from the actual market value. RecordFlower does not warrant the accuracy, completeness or currency of these results and accepts no liability for damage arising from their use or publication, including where the Customer has adopted the results unchanged.
35.4 Where the Customer opts for placement on a Sales channel, this takes place through the Customer's own connection with that channel, on behalf of and at the expense of the Customer, subject to the terms of that Sales channel. Section 20 applies to it.
35.5 The Customer checks every result before an item is published and remains fully responsible for the content, the price and the lawfulness of the offering, both in its own webshop and on a Sales channel. Publication constitutes the Customer's acceptance of the data.
